This session will address certain rules and issues frequently encountered by practitioners in structuring M&A transactions involving entities treated as partnerships for U.S. federal income tax purposes. After attending this session, participants will be better prepared to identify and plan for common issues associated with partnership terminations, continuations, and mergers, as well as rollover equity.
