Chris Rowley Partner, Mergers & Acquisitions and Private Equity

Chris’ practice focuses on mergers and acquisitions, private equity transactions and other complex corporate transactions involving public and private companies. Chris works extensively with private equity funds in all phases of the fund and investment life cycle including formation, structuring, fundraising, co-investments, control investments, minority investments and line of equity investments, M&A transactions, Rule 144 sales of securities and in-kind distributions of securities. He has particular experience working with energy-focused private equity funds and their management teams, and in preparing private equity portfolio companies for private or public exit strategies.

  • LSB Industries in the $364 million sale of its Climate Control Business to NIBE Industrier AB of Sweden 
  • Quintana Energy Services in the contribution by Archer Well Company of its pressure pumping, directional drilling and pressure control businesses in exchange for equity in Quintana Energy Services and various stakeholders in second lien financing and related transactions
  • Clovis Point Capital in its preferred equity investment in MediaPro Holdings and subsequent $60.6 million sale of a majority stake in the company
  • Management team of Next Wave Energy Partners in a $500 million equity commitment to the company by Energy Capital Partners for the development, operation, acquisition, and expansion of midstream and downstream petrochemical and fuels assets
  • Quintana Energy Partners in the $127 million combination of its portfolio company, Kopper Glo, a TN-based coal producer, with affiliates of Corsa Coal Corp., a Canadian publicly traded coal company, and the acquisition by Quintana of control of Corsa Coal Corp., parent company after the combination
  • BP Capital in a $75 million line of equity commitment to MNGS Holdings, a company organized to provide turnkey remote oilfield services energy logistics, including the mobilization, installation, maintenance, and servicing of portable power units
  • Parallel Resource Partners in its $700 million debut private equity fund, focusing on control investments in distress-driven opportunities in the North American upstream oil and gas sector

  • Holly Corporation in its $7 billion merger with Frontier Oil Corporation, creating one of the largest independent refiners in the United States
  • Dell in its $3.9 billion public tender offer and acquisition of Perot Systems Corporation, an information technology company
  • Oncor Electric Delivery Company in its approximately $400 million asset swap with Sharyland Utilities and Sharyland Distribution & Transmission Services
  • LSB Industries in the $364 million sale of its Climate Control Business to NIBE Industrier AB of Sweden 
  • HollyFrontier Corporation in the $315 million drop down of its interest in the owner of a refined products pipeline and related assets to Holly Energy Partners

  • Quintana Energy Partners in its $275 million sale  of AmerCable Holdings, a manufacturer of mining, marine oil and gas, and other industrial cables, to Nexans USA
  • Stratford Capital Partners and Retail & Restaurant Growth Capital in connection with the consent solicitation to replace the board of directors of Teletouch Communications
  • Quintana Energy Partners in its $44 million sale and acquisition of Talen’s Marine & Fuel, a fuel supplier with marine docks located along the Gulf Coast

  • Bluescape Energy Partners in the formation of Bluescape Energy Partners Fund III, a $665 million fund focused on the upstream oil and gas and power industries
  • Clovis Point Capital in the formation of a private equity fund focused upon change of control and growth equity investments in lower-middle market, privately held companies
