Vinson & Elkins represents issuers and underwriters in a wide variety of capital-raising transactions, including initial public offerings (IPOs), and private placements and public offerings of equity, debt, and convertible securities. A significant portion of our Capital Markets practice focuses on IPOs, much of which has been fueled by continued demand for investment in master limited partnerships (MLPs). Our lawyers have advised on 80 percent of all natural resource and real estate MLP IPOs completed since the tax legislation affecting MLPs was enacted in 1987. Our IPO activity has also been driven by the representation of private equity funds, with a substantial number of IPOs of portfolio company investments across a variety of industries.
Our Capital Markets team serves clients across many industries, including energy, aerospace, finance, real estate, telecommunications, and technology, and works in close coordination with our subject matter experts across the firm to address environmental, tax, executive compensation and
benefits, regulatory, and other issues that may arise in the course of an offering.
The firm has experience with a variety of IPO investment vehicles as well, including corporations, MLPs, real estate investment trusts (REITs) and special purpose acquisition vehicles (SPACs).
