
Ellen Swarbrick


Ellen is an associate in our Transactions group. She has advisory and transactional experience in project development and finance, cross border M&A and general corporate work. Her industry experience includes energy transition matters involving renewable energy and low carbon infrastructure, as well as traditional oil and gas matters.
Ellen previously spent four years working as a consultant for start-ups, investors and corporates in the energy transition space.

Experience Highlights
Affiliates of Global Infrastructure Partners in the acquisition of a 50 percent interest in the multi-billion dollar South Fork and Revolution Offshore Wind Projects off the East coast of the United States from Eversource Energy, including the negotiation of the joint venture arrangements with Orsted for the construction and operation of the projects and all financing arrangements (IJInvestor Joint Venture of the Year, 2024)
Representation of a joint venture comprised of a private equity sponsor and a multinational entity focused on logistics and commodities trading in all aspects of the development and financing of a world-scale low carbon ammonia production facility utilizing carbon capture and sequestration equipment to be located in Texas City, including the structuring of ammonia offtake agreements with direct cost pass throughs for deliveries to Europe and Asia Blue Ammonia Development Project
A multinational oil and gas company in respect of its proposed equity investment in a greenfield LNG liquefaction project and related long-term LNG offtake arrangements
LanzaJet in relation to the development of a sustainable aviation fuel project in the UK
Fortera in its entry into a strategic partnership agreement providing for the development and operation of a first of its kind low-carbon cement plant in order to produce, distribute and sell low-carbon cementitious products, and a pipeline for the development of future plants
OCI Global in all aspects of the development, and subsequent $2.35 billion sale, of its equity interests in a clean ammonia project under construction in Beaumont, Texas to Woodside Energy Group
8 Rivers Capital in the development of the Cormorant Clean Energy Project, an ultra-low-carbon ammonia production facility in Port Arthur, Texas, which will be powered by 8 Rivers’ proprietary 8RH2 hydrogen process
Equinor (formerly Statoil) on the sale of its Nigerian subsidiary, including its share in the giant Agbami oil field (Nigeria’s largest deep-water field), to Chappal Energies for a total value of up to $1.2 billion, including a purchase price of $710 million and additional contingent payments; the landmark deal marked Equinor’s complete exit from Nigeria
