Jon Solorzano Breaks Down Regulatory Shifts on The Deal’s Activist Investing Today Podcast

Activist Investing Today Podcast hosted a discussion with partner Jon Solorzano, who explored the implications of a recent White House executive order on shareholder proposals and proxy advisors. Solorzano explained how the recent executive order may impact proxy advisors and discussed how the SEC’s anticipated revisions to shareholder proposal rules might have similar effects to Texas’ more strict resolution filing requirements, potentially stifling ESG activism, and implicating investors’ ability to bring shareholder proposals.

“Practically speaking, it may be very difficult to actually enforce those laws. The real effect is less about enforcement and more about putting pressure on proxy advisors by fundamentally questioning their business model,” said Solorzano.

Jon Solorzano is a partner at Vinson & Elkins, focusing on advising public and private companies on a wide range of ESG, corporate governance, and shareholder activism matters. With his extensive in-house experience at Clorox, he provides clients with a unique and practical perspective on integrating ESG practices into corporate strategies, from risk management to sustainability reporting.
