Biography
Ryan’s practice focuses on the tax aspects of domestic and international business transactions. He has extensive experience with the taxation of publicly traded partnerships, MLPs, private equity transactions and structures, mergers and acquisitions, reorganizations, and capital market transactions.

Representative Experience
Master Limited Partnerships and Capital Markets View All
- Participated in representation of issuers and underwriters in more than 30 initial public offerings of equity securities of MLPs, raising more than $6 billion, conducting qualifying income and structural analysis
- Tax counsel to issuers or underwriters in more than 65 follow-on equity offerings of MLPs, in both primary issuances and secondary sales in bought, marketed and at-the-market transactions, raising more than $11 billion
- Assisted in representation of MLPs involved in mergers and reorganizations and evaluating and structuring proposed strategic mergers, joint ventures, acquisitions, alternative investment structures, and take-private transactions involving MLPs
Private Equity Fund Formation, Management, and Operations View All
- Assisted in the formation of multiple private equity funds with an aggregate of more than $2 billion in capital commitments
- Advised one of the nations' largest investment banks in connection with the formation of a $500 million fund investing in MLP securities
- Advised fund general partners in connection with tax structuring and compliance matters, logistical issues and interpretation, and amendment of fund agreements
Mergers & Acquisitions View All
- Assisted in representation of a publicly traded corporation providing oil and gas well control services in connection with various acquisitions of entities and assets
- Assisted in advising a publicly traded oilfield services company in connection with a proposed reverse Morris trust acquisition
- Advised multi-billion dollar investment group in connection with an investment in a geothermal energy project
