Biography
Brett’s practice includes a wide array of secured and unsecured finance transactions. He represents both lenders and borrowers in a variety of complex domestic and cross-border financings, including syndicated revolving and term loan facilities, project financings, acquisition financings, asset-based facilities, work-outs, and debtor-in-possession and exit facilities. Brett represents domestic and international lenders and borrowers, including banks, private equity and hedge funds, insurance companies, and other financial institutions. He has represented borrowers and lenders in a wide array of sectors, including exploration and production, transportation and other infrastructure, electric generation, transmission, alternative fuels and renewables, LNG, pipelines, oilfield services, airlines, mining, shipping, agribusiness, gaming, insurance adjusting, broadcasting, publishing, sports, and food services.

  • Represented borrower in a series of land acquisition financings for the pre-development of casino, hotel, and condominium projects in Las Vegas aggregating $995 million
  • Represented major quick-serve restaurant franchisor, as borrower, in a $950 million minority recapitalization transaction
  • Represented lead underwriter in the acquisition financing of twenty-five cogeneration Facilities
Asset Based Loan Facilities

  • Represented E&P company, as borrower, in $1.5 billion reserve-based credit facility
  • Represented offshore E&P company, as borrower, in $700 million reserve-based credit facility
  • Represented E&P company, as borrower, in $150 million reserve-based credit facility
Work-outs, DIPS and Exit Loan Facilities
  • Represented lender in the financing of the acquisition of an NHL hockey team in a Section 363 sale
  • Represented debtors in series of in and out-of-court cross-border shipping credit facilities involving fourteen foreign jurisdictions (including DIP and exit facilities) aggregating $250 million
  • Represented debtors in $75 million exit facility
Project Finance

  • Represented borrower in the project financing of a $250 million sugar cane ethanol, plantation, and port facility in Peru
  • Represented borrower in the traffic risk project financing of a domestic toll bridge
  • Represented borrower in a $550 million project financing of transmission line crossing three states
