Vice Chair
Hilary currently serves as a Vice Chair of the firm and a member of the Management Committee and the Diversity Executive Committee. Hilary additionally serves as Co-Chair of V&E’s Women’s Initiative. Hilary focuses her litigation practice on intellectual property litigation and commercial disputes. She has represented clients in these types of lawsuits in trial and appellate courts across the country and regularly “provides strong practical advice and offers creative solutions” for clients (Chambers USA 2016). Hilary also has substantial experience counseling clients in risk management surrounding technology development, particularly in the sports, digital media, mobile content delivery, and e-commerce industries. In particular, she is noted as having “excellent communication skills and knowledge of the digital technology and telecommunications arenas” and has been called “a trusted advisor” with “excellent judgment” (Chambers USA 2016). Hilary has been recognized for her work in Chambers USA since 2014 and in New York Super Lawyers since 2013.

Michael currently serves as a Vice Chair of the firm and a member of the Management Committee and Diversity Executive Committee. His practice includes mergers & acquisitions, securities litigation, corporate governance, directors and officer representation, and commercial disputes. Michael has appeared as lead counsel in several jurisdictions, and has significant experience in handling Delaware corporate and partnership litigation matters. Most recently, Michael was lead trial counsel for Energy Transfer Equity, L.P. in connection with a lawsuit adverse to The Williams Companies to enforce rights under the parties’ merger agreement. Following expedited discovery and an expedited trial, The Delaware Court of Chancery entered an opinion and order permitting his client to terminate the merger agreement. This decision was affirmed by the Delaware Supreme Court. Michael has also handled a variety of corporate investigations, including internal investigations and investigations initiated by the Securities and Exchange Commission.

Dave Johnson is Head of the Government Contracts/Export Controls and National Security practice, Managing Partner of the Washington, D.C. office, and a member of the firm’s Management Committee. Hill Wellford is co-head of the firm’s Antitrust group. Since leaving the DOJ Antitrust Division for private practice, he has focused on matters in energy, technology, pharmaceuticals, media, and heavy industry, both in the U.S. and internationally. Chambers USA has called him “very strong” in antitrust and “one to watch.” Hill’s practice includes matters in the United States and worldwide. He files dozens of “merger control” notifications yearly under the U.S. Hart-Scott-Rodino Antitrust Improvements Act (HSR Act) and parallel international laws. His non-deal work includes advising clients on some of the most hot-button current antitrust issues—including platforms/two sided markets, ESG/sustainability collaborations, and energy transition—as well as government civil conduct investigations and cartel and criminal investigations. He also counsels third parties involved in merger divestitures and has been appointed by the U.S. Federal Trade Commission (FTC) to represent agency-installed divestiture monitors and trustees.

Darren Tucker focuses on merger and non-merger antitrust investigations in the technology, energy, and pharmaceutical sectors. Darren draws on both his experience as a former Federal Trade Commission attorney and his nearly 20 years in private practice to provide valuable insights to clients regarding competition enforcement and policy issues. He advises clients on a range of pricing and distribution issues; helps clients close mergers, acquisitions and joint ventures worth tens of billions of dollars annually; and works on some of the most hot-button antitrust issues, including multi-sided platform markets, ESG/sustainability issues, and energy transition. Chambers USA says that Darren “is commended for his merger and conduct investigation work on behalf of technology companies. He also provides astute compliance counseling.”

Craig serves as Co-Head of Vinson and Elkins’ Litigation & Regulatory department and is a leader of the firm’s renowned global Antitrust Group. With 30 years of antitrust experience that results from working with the world’s leading companies, today Craig represents clients in all areas of antitrust law, including criminal grand jury investigations, civil investigations by the FTC and the DOJ, class action litigation, and merger investigations. A core area of Craig’s practice involves defending multinational companies in cartel and price-fixing investigations. He has successfully defended Fortune 100 companies in grand jury investigations and coordinated the defense of multijurisdictional cartel investigations. Craig, who is based in Washington, D.C., has represented clients in obtaining amnesty from the Department of Justice, and has successfully defended others in cartel investigations with no charges being brought against the company. “Some of my greatest victories are those that receive no publicity, such when our team convinces the government not to bring charges against a client at the end of grand jury investigation or when my team obtains amnesty for a client.” Craig also represents companies in antitrust civil litigation, including follow-on actions to cartel investigations. He has been able to win bet-the-company cases for clients by winning early dismissals, defeating class certification and winning summary judgment motions. While Craig primarily represents defendants in civil litigation, he currently represents 12 large shipping companies asserting claims against the four leading railroad companies in In re Rail Freight Fuel Surcharge Antitrust Litigation.

He has a particular focus on transactions involving real estate investment trusts (REITs). He advises companies and their sponsors through the entire life cycle of the business from formation through the initial public offering process (in fact, Daniel has advised on more than 35 initial public offerings in his career), and thereafter with respect to equity and debt capital markets transactions, SEC reporting and compliance, mergers, acquisitions and other strategic transactions, and corporate governance. Daniel also regularly serves as counsel for the underwriters in capital markets transactions and also advises boards of directors and special committees on strategic transactions and other governance matters.
