EnLink Midstream, LLC to Acquire EnLink Midstream Partners, LP in a Simplification Transaction

The EnLink Midstream companies, EnLink Midstream, LLC (ENLC) (the General Partner) and EnLink Midstream Partners, LP (ENLK) (the Master Limited Partnership), entered into a merger agreement whereby ENLC will acquire all outstanding common units of ENLK not already owned by ENLC in a unit-for-unit exchange transaction to simplify its corporate structure. Vinson & Elkins advised TPG in its capacity as a majority holder of the $750 million Series B Cumulative Convertible Preferred Units of ENLK.
