On November 16, 2021, Sarah Morgan and K. Stancell Haigwood will be presenting to the Washington, D.C. Chapter of Women Corporate Directors (WCD) regarding What Corporate Directors Need to Know about SPACs.
Special Purpose Acquisition Companies (“SPACs”) are companies formed to raise capital in an initial public offering (“IPO”) with the purpose of using the proceeds to acquire one or more unspecified businesses or assets to be identified after the IPO. Overall, 2020 and the first half of 2021 have been landmark periods for SPAC activity. SPAC IPOs rivaled traditional IPOs and set the stage for an unprecedented number of SPAC M&A transactions. Morgan and Haigwood will discuss SPAC IPOs and M&A, recent trends and issues, and considerations for SPAC and target boards.
