In this program, a panel of V&E attorneys discussed internalization structures and various considerations that REITs, their external managers and financial advisors should consider.

The panel reviewed the history of REIT internalization transactions, the various factors that drive a REIT to internalize its management team and the different forms of deal structures frequently employed in these transactions. These include structures involving the issuance of operating partnership units, REIT stock and special voting stock. We provided our views with respect to standard procedures for REIT internalization transactions, including conflicts of interest and the use of special committees and third party experts. Finally, we considered structuring-related tax issues and other legal and corporate governance issues, such as employment, employee benefit plans and business integration matters.
