Christianne Williams Counsel, Mergers & Acquisitions and Capital Markets

Christianne’s practice focuses on international capital markets and cross-border leveraged finance transactions, with a particular emphasis on high-yield debt offerings. 

Christianne advises issuer and underwriter clients as well as alternative capital investors on a broad range of transactions, including high-yield debt offerings, debt liability management transactions, restructurings and U.S. securities law matters.

Christianne has significant experience in high-yield financings for companies across Europe and emerging markets, with considerable exposure to the oil and gas, oilfield services, mining and natural resources sectors.

Christianne was recommended in The Legal 500 UK 2017 for High Yield, where clients note that she is part of a team who provides "a quite frankly unparalleled service."  In the 2016 and 2015 editions she has been recommended and recognised as an "associate to watch."

Experience Highlights

  • Vistra Energy, a Texas-based power retail and generation company listed on the NYSE, on its issuance of $1 billion Senior Notes due 2026 and the related $1.7 billion cash tender offers for certain of its existing notes
  • First Quantum Minerals Ltd., a Toronto Stock Exchange listed metals and mining company with assets in Africa, Australia, Europe and South America, on its high-yield bond issuances, debt liability management transactions and related U.S securities law advice, including:

    • its issuance of $1.85 billion Senior Notes Due 2024 and 2026
    • its issuance of $2.2 billion Senior Notes Due 2023 and 2025 and the related tender offers in respect of $1.5 billion of its existing notes
    • its issuance of $850 million Senior Notes Due 2022
    • its acquisition of Inmet Mining Corporation and the exchange offer in respect of the $2 billion Senior Notes issued by Inmet Mining Corporation
    • its debut high-yield offering of $350 million Senior Notes Due 2019
  • Petra Diamonds, a rough diamonds producer listed on the London Stock Exchange and a constituent of the FTSE 250, on its high-yield bond issuances, debt liability management transactions and related U.S securities law advice, including:

    • the U.S. securities law aspects of its $178 million equivalent fully underwritten rights issue
    • its issuance of $650 million Senior Secured Second Lien Notes Due 2022
  • An ad hoc group of senior secured bondholders of New Look, the UK-headquartered apparel business, in relation to New Look’s Company Voluntary Arrangement (CVA) and the related Senior Secured Notes consent solicitation 
  • The dealer managers on the 2017 tender offers by BHP Billiton, the FTSE 100 global resources company, in respect of $5 billion (equivalent) of notes 
  • A London Stock Exchange listed oil and gas company with assets in the Kurdistan Region of Iraq on its issuance of $250 million Guaranteed Notes Due 2017 and its balance sheet restructuring by way of Scheme of Arrangement 
  • A global offshore jack-up company providing services to the oil and gas and renewables industries on its debut high-yield offering of $225 million Senior Secured Notes Due 2018 and the tender offer and consent solicitation in connection with the refinancing of the Senior Secured Notes
  • The Initial Purchasers on the debut high-yield offering by a French pharmaceutical and chemicals company of €310 million Senior Secured Floating Rate Notes Due 2019
  • One of the UK’s biggest food companies on its issuance of £250 million Senior Notes Due 2019 and £330 million and €300 million Senior Notes Due 2021, and the related tender offers for its existing Senior Notes
  • The Initial Purchasers on the high-yield bond issuances by a London Stock Exchange listed oil and gas company with assets in Africa and the Middle East
