Darin W. Schultz Partner, Finance

Darin’s practice is focused primarily on secured lending transactions in the energy sector. He represents borrowers, sponsors, project developers, and lenders in a wide variety of syndicated financings, including upstream, midstream, oilfield services, project finance, and acquisition finance. He counsels clients in all phases of domestic and cross-border lending transactions. During his time at Vinson & Elkins, Darin has represented clients on four separate project financings that have achieved “Deal of the Year” status from various trade publications (matters are described below). He is a member of V&E’s Finance practice group.

  • Targa Resources Partners and Targa Resources Corp. in the $7.7 billion acquisition of Atlas Pipeline Partners and Atlas Energy
  • Blue Racer Midstream, LLC, a joint venture between Caiman Energy II, LLC and Dominion Resources, in a $800 million credit facility
  • AES Gener S.A. in the development and project financing of the Angamos project, a 462 MW coal-fired power plant in Chile; named Project Finance International’s Power Deal of the Year (Americas), Power Finance & Risk’s Deal of the Year
  • Caliber Midstream Partners, L.P., a joint venture between First Reserve and Triangle Petroleum, in a $200 million revolving credit facility
  • Anadarko Petroleum Corporation in a $5 billion secured revolving credit facility

  • RockPile Energy Services, LLC in a $150 million secured revolving credit facility
  • QES Holdco LLC, a Quintana company, in a $200 million secured revolving credit facility
  • Goodrich Petroleum Corporation in various financing matters in support of a $350 million reserve-based credit facility
  • Parsley Energy, L.P. in various financing matters in furtherance of a $750 million reserve-based credit facility and parent initial public offering
  • Endurance Resources Holdings, LLC, a Lime Rock portfolio company, in a $150 million reserve-based credit facility
  • Deep Gulf Energy II, LLC, a First Reserve portfolio company, in a $150 million senior secured credit facility

Syndicated Finance/Acquisition Finance

  • Midstates Petroleum Company, Inc. in a $750 million reserve-based credit facility in furtherance of the acquisition financing of approximately $620 million of producing properties and undeveloped acreage
  • An international private equity fund in a $2 billion reserve-based credit facility in furtherance of acquisition financing
  • Globe Energy Services in a secured asset-based lending credit facility and acquisition financing
  • An international private equity fund in connection with the acquisition of $1 billion of performing/sub-performing secured loans and equity interests
  • JPMorgan Chase Bank, N.A. in a $375 million senior secured revolving and term loan credit facility to a borrower in the industrial construction and fabrication industry
  • Newfield Exploration Company in a $1.25 billion investment-grade credit facility
  • Lead arranger and administrative agent in $98 million secured acquisition financing with respect to a power project in Georgia
  • Westlake Chemical Corporation in various credit facility matters in furtherance of an MLP initial public offering
  • A venture capital/private equity firm in the $110 million acquisition financing of a surveying and mapping company

Project Finance & Development

  • Great Northern Midstream, a Quintana Infrastructure and Development investment, in the development, financing, and refinancing of the BakkenLink crude oil pipeline in North Dakota
  • LS Power in the project financing of the Cross Texas Project, an approximately 234-mile electric transmission line and related facilities
  • Constellation Energy Group in the project financing of rooftop and ground-mounted solar projects in various states throughout the U.S.
  • A leading international energy company in the financing of the GNL Quintero Project, a major LNG facility in Chile; named “Americas Oil and Gas Deal of the Year for 2008” by Project Finance International
  • WestLB AG in the $990 million project financing of the 750 MW La Yesca Hydroelectric Project in Mexico; named as Project Finance International’s Power Deal of the Year (Americas)
  • AES Gener S.A. in the $440 million development and financing of the Nueva Ventanas project, an approximately 242 MW coal-fired power project in Chile; named Project Finance’s 2007 “Latin America Power Deal of the Year”
  • Trans-Allegheny Interstate Line Company in the financing of the 210-mile TrAIL electric transmission line
