Julia Pashin Senior Associate, Tax

Julia advises clients on the U.S. federal income tax aspects of complex domestic and cross-border transactions, including private equity, mergers and acquisitions, and joint venture transactions. She focuses her practice on energy transactions, including oil and gas joint venture arrangements and like-kind exchange transactions involving upstream oil and gas assets. Experience Highlights

  • The Carlyle Group in the $300 million definitive drilling agreement to fund the development of Diamondback Energy's oil and gas assets in Pecos County, Texas 
  • Spredfast, a leading provider of social media management software and solutions, in the merger with Lithium Technologies via its private equity sponsor, Vista Equity Partners 
  • Flywheel Energy Operating, a portfolio company of funds managed by Kayne Anderson Capital Advisors, in its $1.86 billion acquisition of all Fayetteville Shale and ARKOMA upstream and midstream assets of Southwestern Energy Company via the acquisition of 100% of the issued and outstanding securities in SWN Production (Arkansas), LLC and DeSoto Gathering Company, LLC
  • Continental Resources in its $220 million sale of mineral rights in the SCOOP and STACK oil and gas plays and formation of a joint venture with Franco-Nevada Corporation
  • Osaka Gas USA Co. in the acquisition from, and joint venture with, Sabine Oil & Gas relating to oil and gas properties located in Harrison and Panola Counties, TX 
  • OCI N.V. in a joint venture with Dakota Gasification Company to form N-7 LLC, a jointly owned company that will market, distribute and sell nitrogen fertilizers, industrial ammonia and diesel exhaust fluid in North America
  • The Carlyle Group in the $400 million definitive drilling agreement to fund the development of EOG's oil and gas assets in Ellis County, Oklahoma
  • Ascentium Capital in the sale of the company, the third largest private-independent equipment finance company in the U.S. by volume, to Warburg Pincus
  • Plains All American Pipeline, L.P. in the 50/50 joint venture with Noble Midstream Partners LP to acquire Advantage Pipeline, L.L.C. for $133 million
  • Devon Energy in the $2 billion sale of certain non-core upstream assets to multiple buyers in east Texas, the Anadarko Basin, the northern and central Midland Basin, and northern Oklahoma
  • Private midstream operating company in the $1.3 billion joint sale, together with Vega Energy Partners, of their interest in the Appalachia Gathering System and 55 percent of Stonewall Gas Gathering

Mergers & Acquisitions

  • SandRidge Energy in $1.12 billion sale of its Gulf of Mexico offshore and Gulf Coast assets to Fieldwood Energy, LLC
  • Fiesta Mart in the sale of the company, one of largest international and Hispanic grocery chains in the United States, to ACON Investments 
  • The Grocers Supply Company in the sale of the company’s wholesale grocery business to C&S Wholesale Grocers
  • Riverstone Holdings in the $3.75 billion acquisition by its portfolio company, Fieldwood Energy LLC, of Apache Corp.’s assets in the Outer Continental Shelf of the Gulf of Mexico
  • Concho Resources in the $1.125 billion sale of its interests in Alpha Holding Company, the owner of the Alpha Crude Connector system, to Plains All American Pipeline 
  • Mitsui & Co., Ltd. in its agreement with DuPont to purchase DuPont’s global Kocide and ManKocide copper fungicide assets
  • Trafigura AG in the sale of a majority stake in its Corpus Christi Terminal and associated Eagle Ford assets in South Texas, and related joint ownership arrangements 

Joint Ventures

  • A drilling joint venture between a subsidiary of EP Energy Corporation and an affiliate of Apollo to fund the drilling of up to 150 wells
  • TPG Special Situations Partners (TSSP) in its agreement between the operating subsidiary of Legacy Reserves LP and funds managed by TSSP to jointly fund horizontal development of certain of Legacy's Spraberry, Wolfcamp and Bone Spring rights in the Permian Basin

Private Equity

  • Stellus Capital Management in the $30 million investment, and commitment to fund up to an additional $45 million, in Matrix Revolution 
  • Austin Ventures in its acquisition of SAM, Inc., a surveying, mapping and engineering company 
  • Lime Rock partners in the $35 million acquisition of a 60% equity interest in KSW Environmental, provider of crystalline silica dust control solutions to the hydraulic fracturing sector of the oil and natural gas industry
