Natalie Lamb Senior Professional Support Attorney, Mergers & Acquisitions and Capital Markets

Natalie is a senior professional support attorney based in the London office of Vinson & Elkins and is a member of the firm's Mergers & Acquisitions and Capital Markets practice group. She has experience in a broad range of corporate transactional work, including asset and share-based acquisitions and disposals, joint ventures, telecoms infrastructure transactions and related commercial contract advice, energy transactions and more general corporate work. Natalie has recently spent time on secondment at a telecoms infrastructure client, and on a corporate transaction in Moscow.

Before joining V&E in June 2008, Natalie trained and was an associate at a major London-based international law firm in its corporate department, during which period she spent six months on secondment to a global insurance and financial services corporation in its New York headquarters. Natalie has also spent time working at her previous law firm's Dubai branch.

Mergers & Acquisitions – Telecommunications

  • Leading Middle Eastern telecom company in connection with the potential establishment of an independent tower operating company to own and manage its own, and third party, towers, and other telecom infrastructure in eight African countries, including the sale and lease back arrangements of such telecom towers
  • A major telecoms company in relation its potential sale and leaseback of portfolios of telecoms towers in South Asia
  • An African tower company on a ground-breaking joint venture with two mobile network operators in Tanzania and the subsequent flip-up by one such mobile network operator into shares of the holding company 
  • An African tower company on a series of acquisitions and leasebacks of telecom tower portfolios in various African countries (including Ghana, Tanzania, Congo Brazzaville and the DRC), together with related equity investment and build-to-suit arrangements
  • Helios Towers Nigeria on its acquisition of Multi-Links, a Nigeria mobile network operator and owner of 5000 km fibre optic network, from Telkom SA, and on its subsequent sale of Multi-Links
  • A portfolio company of a private equity firm on its potential equity investment into a tower company owning telecom tower portfolios in several African countries 
  • A telecom tower company on its long-term managed services agreement with a mobile network operator in a high growth market 
  • An African tower company in respect of its contractual relationships with local partners and subcontractors, including marketing rights, construction, maintenance, service levels, IT services, security contracts, fibre IRUs, collocation agreements and managed services contracts, together with overseeing day-to-day running of such contracts 
  • An African tower company in its equity financing by a group of investors
  • A telecom tower company on various ongoing disputes regarding use of equipment by tenants on towers and ground lease issues

Mergers & Acquisitions – Energy, Renewables and Chemicals

  • Sinopec International Petroleum Exploration and Production Corporation in connection with its C$10.3 billion acquisition of Addax Petroleum Corporation, a Canadian company publicly traded on the Toronto and London Stock Exchanges, with assets in West Africa and the Middle East; this deal was the largest overseas energy acquisition by a Chinese company to date, and was named a 2009 Deal of the Year by Asian-Counsel
  • OAO NOVATEK in connection with the sell-down to Total of a minority interest in the Termokarstovoye gas condensate field in northern Russia (including a secondment to Moscow office)
  • A private equity fund in the proposed investment in oil mining licences in Nigeria  
  • A major oil company on a tender to acquire the shares of a company holding an interest in an African oil field
  • A major Indian energy E&P company in relation to a dispute regarding its shareholder and investment arrangements
  • Riverstone Holdings in its line of equity commitment to Enviva Holdings, a biomass renewable energy company 
  • Private equity firm HgCapital in connection with the acquisition of a portfolio of operational and development-stage windfarms in Europe
  • Champion Technologies, a U.S. chemicals company, in its formation of a joint venture with a Dutch subsidiary of an international chemicals company

Mergers & Acquisitions – Other

  • An international private equity fund on the structuring of a joint venture vehicle and representation of the vehicle in the acquisition of portfolios of performing and non-performing commercial real estate loans in various European countries, including a debt-for-equity swap
