Neil W. Imus Partner, Antitrust

Washington, D.C.-based Neil Imus is an accomplished antitrust lawyer who focuses on mergers and acquisitions and other antitrust matters. Neil regularly represents clients before the Federal Trade Commission, the U.S. Department of Justice, state and international antitrust authorities, and U.S. Courts.

In a career that has spanned more than 30 years, Neil has advised clients across industries on the antitrust implications of high-profile transactions, and he has formulated strategies for obtaining clearance from regulators. In addition to his transactional work, Neil counsels clients on general antitrust matters.

Neil has been recognized as a leading antitrust lawyer by a variety of national and international organizations. His antitrust practice has been cited by Chambers USA and by Legal 500 U.S. Neil has been active in the leadership of the antitrust section of the American Bar Association.

Experience Highlights

  • Represented Permian Mud Service in its sale of Champion Technologies, Inc., one of the world’s largest makers of oilfield chemicals, to Ecolab Inc. for approximately $2.2 billion
  • Represented a publicly trade energy partnership in an FTC investigation of its proposed acquisition of a petroleum pipeline operator; the FTC investigation was concluded and the transaction closed, forming the largest publicly traded energy partnership in the United States, with an enterprise value of more than $26 billion
  • Advise a major U.S. airline on variety of antitrust matters
  • Dart Container Corporation in the $1 billion acquisition of Solo Cup Company
  • Represented a large natural and organic grocery store company in its acquisition of another natural and organic grocery store company; the FTC investigation resulted in a preliminary injunction proceeding on Clayton Act, Section 7 issues in the U.S. District Court

Energy

  • Advised a private equity company in connection with an FTC investigation of its investment in taking one of the largest midstream companies in the U.S. private; negotiated a consent decree with the FTC to resolve competitive concerns
  • Represented a large midstream MLP in a post acquisition investigation by the FTC; negotiated a consent decree with the FTC involving asset divestitures
  • Represented a major oil company in an FTC investigation of the sale of a large number of its retail gasoline stations
  • Advise a refining company on antitrust matters involving several acquisitions and potential acquisitions, and counseling issues
  • Riverstone Holdings in the $9.5 billion formation of Talen Energy Corporation, one of the largest independent power producers in the U.S., through a Reverse Morris Trust spin-off of PPL Corporation’s merchant power generation business and the concurrent combination thereof with Riverstone’s merchant power generation business and associated debt financings

Food

  • Advised in the sale of a company in the meat packing industry to a strategic buyer
  • Represented a private equity buyer of brand name food product resulting in litigation with the FTC

Health Care

  • Advised on cash tender offer in the hospice care industry
  • Represented the largest for-profit hospital company in a variety of antitrust matters, including several acquisitions investigated by the FTC; numerous Hart-Scott-Rodino matters; and general antitrust counseling
  • Represented a manufacturer of automated drug dispensing equipment in a Federal Trade Commission investigation of the sale of the company to a drug distribution company

Media

  • Represented the company that owned and operated the largest group of radio stations in the U.S. in several antitrust matters before the DOJ; several transactions involved asset divestitures as a condition to a consent decree
  • Represented various TV and radio broadcasters in Hispanic radio station transactions involving investigations by the DOJ
  • Represented a newspaper company on various antitrust matters

Retail

  • Represented a large natural and organic grocery store company in its acquisition of another natural and organic grocery store company; the FTC investigation resulted in a preliminary injunction proceeding on Clayton Act, Section 7 issues in the U.S. District Court
  • Represented a major oil company in an FTC investigation of the sale of a large number of its retail gasoline stations

Technology

  • Represented a major computer manufacturer on various antitrust matters
  • Represented a major communications/Internet equipment manufacturer before the Antitrust Section of the Department of Justice in acquisition of another equipment supplier company

Miscellaneous

  • Advise a major U.S. airline on variety of antitrust matters
  • Represented a large manufacturer of check processing equipment in a DOJ investigation of its acquisition of another manufacturer
  • Represented a major foreign glass manufacturer in Federal Trade Commission investigations of several acquisitions and joint venture formations
