Jeffrey E. Eldredge Partner, Mergers & Acquisitions and Capital Markets

Jeffrey Eldredge is the co-head of Vinson & Elkins’ Corporate department. 

Over the course of a more than three-decade-long career at V&E – much of it spent in the firm’s London office – Jeff has handled some of the largest transactions in the energy and telecommunications space worldwide. 

Jeff focuses on representing private equity sponsors engaged in cross-border infrastructure mergers and acquisitions in Europe, the Middle East, and Africa. In addition, he represents issuers, borrowers, and financial institutions in leveraged finance transactions, including high-yield bond offerings.

Jeff has advised private equity and sovereign wealth funds, corporate issuers, acquirers, project developers, and financiers and their advisors, in numerous acquisitions, dispositions and financings.

Experience Highlights

  • Oman Oil Company in the $2.4 billion acquisition of the Oxea Group, the world’s largest supplier of Oxo chemical products, from Advent International
  • Soros Fund Management and Albright Capital Management with the acquisition of APR Energy, a provider of turnkey temporary power generation services, by a London Stock Exchange-listed acquisition vehicle
  • An international private equity fund on its acquisition of a leading global producer of automatic snack and beverage vending machines
  • The initial purchasers on the issuance by Neptune Energy Bondco plc of US$550 million of senior notes due 2025 
  • A leading global producer of automatic snack and beverage vending machines on its €300 million issuance of senior secured notes
  • HTA Group Ltd on its $600 million issuance of senior notes
  • Helios Towers Africa in its acquisition of telecom tower portfolios in Ghana, Tanzania, and the Democratic Republic of Congo

Mergers & Acquisitions – Chemicals

  • Champion Technologies, a U.S. chemicals company, in its formation of a joint venture with a Dutch subsidiary of an international chemicals company
  • A U.S. specialty chemicals company in its acquisition of a Dutch specialty chemicals subsidiary of Degussa, a German chemicals company

Mergers & Acquisitions – Energy

  • Albright Capital Management LLC (as part of a consortium) in connection with the successful recommended offer to acquire and take-private APR Energy plc, a company listed on the London Stock Exchange and a provider of turnkey temporary power generation services 
  • An international energy company with numerous venture capital investments in Europe and North America
  • Dynegy on the auction and sale of a subsidiary owning the Hornsea and Aldbrough onshore gas storage assets to Scottish & Southern
  • Dynegy on the auction and sale of offshore gas storage and onshore processing facilities and related pipelines (including the Rough Offshore Gas Field and Essington Terminal and Facilities) to Centrica
  • A major international bank in a financing for the acquisition by a French energy services company of a Norwegian company
  • Central and South West Corporation (U.S. public utility holding company with substantial international operations) in its merger with AEP, at the time the largest public utility merger in history
  • Central and Southwest Corporation in its takeover of SEEBOARD, an English electric company

Mergers & Acquisitions – Telecommunications

  • A private equity firm on an equity line investment into an international data centre business 
  • Crown Castle International with the privatization and acquisition of state-owned broadcast and telephony infrastructure in Italy
  • A telecommunications infrastructure company with proposed acquisitions of state-owned telecommunications infrastructure in Finland, Czech Republic, Switzerland, Portugal, and France
  • Dynegy, Inc, in the sale of its European fibre optic ventures
  • A U.S. outsourcing company in its joint venture/acquisition negotiations with a unit of Deutsche Telekom AG
  • SBC Communications Inc. (now AT&T, Inc.) with the disposition of its interest in a European telecommunications company

Mergers & Acquisitions – Other

  • A Middle Eastern Sovereign Wealth Fund in several acquisitions and joint ventures in the United States
  • Dubai International Capital in its investments in a number of large international enterprises
  • Dubai International Capital in its investments in a number of large international enterprises

Projects

  • HgCapital Renewable Energy Partners in its acquisition of renewable energy projects and project portfolios throughout Europe
  • Project finance counsel to one of the sponsors of an LNG project in the Middle East
  • An international energy project developer in the creation of a public-funding structure for multiple projects throughout the world
  • The developer in the first project financing of a merchant power plant in the United Kingdom
  • The issuing developer in one of the first pooled project bond financings

Capital Markets

  • The initial purchasers on the issuance by Neptune Energy Bondco plc of US$550 million of senior notes due 2025 
  • The initial purchasers in connection with Tullow Oil plc’s placement of US$800 million of senior notes due 2025 
  • The initial purchasers on the issuance by AkerBP of US$500 million of senior notes due 2025 
  • The issuer or underwriter in numerous U.S. domestic and international capital markets transactions, including IPOs listed in the U.S. and on European markets, and offerings of investment grade and high yield debt
  • A U.S. stock exchange-listed European shipping company in connection with its attempt to consensually restructure its obligations and its subsequent administration in the United Kingdom
  • A purchaser of the debt of a financially troubled UK energy company and the subsequent purchase of all of the company’s assets out of administration
  • A U.S. stock exchange-listed energy company with its consensual restructuring, using a pre-arranged Chapter 11 bankruptcy
  • A creditor/purchaser of assets in connection with the largest bankruptcy of an electric utility cooperative in the U.S
