Jenny Doak Partner, Tax

Jenny Doak heads Vinson & Elkins' London-based Tax group, which formed in 2010 and includes attorneys from around the world. Doak has been recognized by Chambers and Legal 500 and praised by clients for her “technical tax excellence” combined with “deep practical experience” (2019).

Doak and her team have unrivaled experience in and knowledge of tax issues in the energy sector, but also work regularly across an array of industries. She advises on the tax aspects of cross-border and U.K. corporate and finance transactions such as mergers and acquisitions, joint ventures, restructurings, financings, and debt and equity issuances, and also provides structuring and consultancy advice. In addition, Doak advises clients on contentious matters, including litigation, judicial review challenges, and tax-related contractual disputes.

Experience Highlights

  • Vitol Group and Helios Investment Partners in Vivo Energy’s initial public offering on the London Stock Exchange and Johannesburg Stock Exchange (the largest London IPO of the year to date and the largest Africa-focused IPO in a decade, with a valuation of close to £2 billion) 
  • Huntsman Corporation on its $522 million initial public offering of Venator Materials plc, a global chemical company incorporated in the UK 
  • Apache Corporation on its agreement to potentially transfer all of its operated participating interest in the Scottish Area Gas Evacuation (SAGE) System to Ancala Partners. The SAGE system is comprised of the 323 kilometre SAGE pipeline and the SAGE Gas Processing Terminal, located north of Aberdeen, Scotland. The transaction also includes all of Apache’s operated participating interest in the interconnecting Beryl Pipeline
  • Woodside on its approximately $430 million acquisition of the assets of ConocoPhillips in Senegal
  • Riverstone, a leading energy-focused private equity house, on the tax aspects of a line of equity investment in Origo Exploration AS, a new oil exploration and production company that will probe the Norwegian and UK continental shelves
  • Oman Oil Company in the $2.4 billion acquisition of the Oxea Group, the world’s largest supplier of Oxo chemical products, from Advent International
  • Anadarko Petroleum Corporation, a U.S. energy company, on tax issues in connection with the $1.075 billion disposal of its Chinese subsidiary to a wholly owned subsidiary of Brightoil Petroleum (Holdings) Limited 
  • Höegh LNG Partners LP, a leading liquefied natural gas service provider on its IPO on the New York Stock Exchange
  • A private equity fund on the acquisition and disposal of a number of loan portfolios in the UK and other European jurisdictions, and associated financing and restructurings
  • A publicly−held Brazilian independent oil company on the acquisition of a 60% operating interest in the Polvo field and on the sale of its interest in the Solimoes oil basin

  • Riverstone and Barclays Natural Resource investments, on the tax aspects of an investment in Origo Exploration AS, a new oil exploration and production company that will probe the Norwegian and UK continental shelves

  • A private equity group in connection with the formation of an international data centre development company
  • Rockpoint Group on the recapitalisation of One America Square, London, with Blackstone, for an undisclosed consideration
  • Zenith Energy, an international liquids and bulk terminaling company and Warburg Pincus portfolio company, in its acquisition of the Bantry Bay Oil Terminal in West Cork, Ireland, from Phillips 66
  • A major U.S. energy group on disposals and acquisitions of UK North Sea licences
  • A FTSE 100 energy group on its demerger of part of its business, followed by a merger of that business to form a new UK listed group
  • A number of multinationals on group structuring, including residence issues, locating holding companies, and repatriating cash in a tax-efficient manner
  • A specialist subsea services company on tax aspects of structuring and documenting joint ventures to conduct oilfield services activities in Nigeria/West Africa

  • Seadrill Partners, the offshore drilling group, on its $220 million IPO on the New York Stock Exchange and a subsequent equity offering

  • The underwriters on the $391million IPO of Transocean Partner LLC, an offshore drilling contractor, on the New York Stock Exchange

  • The underwriters on a $500 million high-yield bond issue by Tullow Oil PLC
  • An energy company on a $2 billion financing from the ‘Term Loan B’ market
  • A UK oil company on its raising of funds through forward sales, prepaid swaps, and production payments
