David’s practice focuses primarily on mergers and acquisitions, joint ventures, and project development. His clients include publicly traded energy companies, private equity funds, portfolio companies, and financial services companies. He advises these clients in connection with the acquisition, development, financing, and disposition of oil and gas and other energy and infrastructure assets in the United States and internationally.

Experience Highlights

  • Pioneer Natural Resources in the $2.15 billion sale of EFS Midstream, an Eagle Ford Shale midstream company jointly owned with Reliance Holding USA, Inc., to Enterprise Products Partners 
  • TPG Capital in its $1.8 billion acquisition of natural gas properties in Wyoming’s Jonah field from Encana Corporation
  • Riverstone Holdings in the $3.75 billion acquisition by its portfolio company, Fieldwood Energy LLC, of Apache Corp.’s assets in the Outer Continental Shelf of the Gulf of Mexico
  • Pioneer Natural Resources in its $1.7 billion joint venture with Sinochem to develop 207,000 acres in the Permian Basin
  • Apollo Global Management and Riverstone Holdings in the $7.15 billion acquisition, among a consortium of investors, of El Paso Corp.'s upstream assets

  • Eagle Energy Exploration, a Riverstone Holdings portfolio company, in the $195 million acquisition of oil and gas assets in Oklahoma’s Mississippian Lime play from Fairway Resources Partners II
  • Pioneer Natural Resources in its $1.3 billion joint venture with Reliance Industries for the development of acreage in the Eagle Ford Shale
  • Pioneer Natural Resources in the sale of its South African oil and gas assets to Petroleum Oil and Gas Corporation of South Africa
  • Riverstone Holdings in its $650 million sale of producing properties and acreage in the Mississippian Lime formation by its portfolio company, Eagle Energy Production, to Midstates Petroleum
  • Frontier Drilling in the $2.16 billion merger of the independent drilling company with Noble Corporation, an offshore drilling contractor
  • Constellation Energy in the $175 million acquisition of MXEnergy Company, a retail electric and gas supply company with operations in 14 states and Canada

Private Equity

  • Highstar Capital in the formation of, and equity commitment to, NorthStar Midstream, a joint venture with NorthStar Transloading focused on energy transportation infrastructure in the Bakken Shale
  • Morgan Stanley Infrastructure Partners in its acquisition of interests in Eureka Hunter Holdings, owner of a natural gas gathering system in the Marcellus and Utica shale basins in the Appalachian region of the United States
  • The Rohatyn Group in the $880 million sale of its minority stake in Transportadora de Gas Internacional S.A. ESP to majority shareholder Empresa de Energia de Bogota S. AS. ESP
  • TPG Specialty Lending in its investment in Mississippi Resources, an independent exploration and production company focused on conventional oil development in Mississippi and Alabama
  • Global Infrastructure Partners in its $2.8 billion joint venture with El Paso Corporation to construct, own, and operate the Ruby Pipeline, a 675-mile natural gas pipeline from Wyoming to Oregon
  • EQT Infrastructure in the acquisition of a 70% stake in Peregrine Midstream Partners, a natural gas storage company
