Brian R. Bloom Partner, Executive Compensation & Benefits

Brian Bloom is an executive compensation and benefits attorney who advises clients on the design, administration and tax aspects of their executive compensation and general employee benefit programs. This includes qualified and nonqualified plans, equity-based and other incentive programs, and a variety of other compensatory arrangements. Brian’s practice also encompasses the executive compensation and benefit aspects of business acquisitions, divestitures, mergers and spin-offs, including transitional matters, parachute arrangements, plan asset and liability transfers and related issues.

With more than 25 years of experience, Brian has represented publicly traded and privately held companies and tax-exempt employers across a wide array of industries including energy, manufacturing, airline, and health care. He has represented clients before the Internal Revenue Service and the Department of Labor, and has extensive experience handling fiduciary and prohibited transaction matters. Brian has also worked on significant investment fund transactions, both to attract funds from ERISA-covered investors and to assist benefit plans desiring to participate in such funds. 

Brian has been recognized by The Best Lawyers in America in employee benefits Law since 2006.

  • Daseke, the leading consolidator and largest flatbed and specialized transportation company in North America, in the addition of three top-tier flatbed and specialized carriers to Daseke’s corporate family: Tennessee Steel Haulers & Co., The Roadmaster Group, and Moore Freight Service
  • Energy Transfer Partners in the $1.8 billion acquisition of Susser Holdings Corporation, the owner of retail convenience stores and a wholesale fuel distributor, in a unit and cash transaction
  • A large international energy company in the spin-off of its California oil and gas business into an independent and separately traded company
  • TPG Capital in its $1.8 billion acquisition of natural gas properties in Wyoming’s Jonah field from Encana Corporation
  • The Shaw Group in its $3 billion sale to Chicago Bridge & Iron

  • Continental Airlines in its $3.2 billion all-stock merger with United Airlines
  • Spectra Energy Corp. in its $11+ billion agreement with Spectra Energy Partners to drop down Spectra Energy’s remaining U.S. transmission, storage, and liquids assets to Spectra Energy Partners
  • Valerus Compression Services in its $435 million sale of Valerus Field Solutions to Kentz Corporation
  • TPG Capital and ACON Investments in the $900 million formation of Northern Tier Energy, and acquisition of a Minnesota refinery and related retail assets from Marathon Petroleum
  • SCF Partners in the combination of portfolio companies to form Nine Energy Services, a provider of completion tools and services to support the development of unconventional and conventional oil and gas resources
