Murad Al-Toukhi Senior Associate, Energy Transactions & Projects

Murad is a corporate associate based in the firm’s Riyadh office. He assists clients with mergers and acquisitions, joint ventures, capital markets and private equity transactions in the energy, petrochemical, and infrastructure sectors as well as general corporate matters. Murad also has substantial litigation experience appearing before the Board of Grievances, Sharia Courts, Criminal Court, the Committee for Banking Disputes and the Commercial Papers Committee. The following is a list of representative matters in which Murad has assisted.

  • Khalid Ali AlTurki & Sons Company on the negotiation, drafting of definitive documents and filing relevant applications to form, govern and dispose of interests in a Saudi joint venture with various technical partners for the provision of oil and gas services

Commercial, Corporate and M&A

  • Sanabil Investments, a closed joint stock company wholly owned by the Public Investment Fund and headquartered in Riyadh, in connection with its acquisition of a 20% equity stake in Ebrahim Mohammed Almana & Brothers Co. 
  • The buyer in the acquisition of the entirety of the shares in a car trading and leasing company
  • A group of sellers in connection with the sale of their interest in Kudu to a consortium of private equity funds led by Abraaj Capital 
  • Abdulqader Al-Muhaidib and Sons Company in the acquisition of 30% of Al-Romansiah Company
  • Sadara Chemical Company in connection with a joint venture to build a hydrogen peroxide plant in the Eastern Province of the Kingdom of Saudi Arabia with a capacity of 303,000 metric tons per year 
  • The shareholders of Gulf Union Food Company in selling a 51% equity interest of their shares to Olayan Group, a Saudi company 
  • Advising Alamar Food Company JSC, a Carlyle investment, on their day-to-day business activities as corporate counsel including board of directors meetings, general assemblies, commercial agreements, employment affairs and joint ventures in Saudi Arabia and the GCC 
  • A leading Saudi company on various ongoing corporate matters

Litigation

  • Ahmad Hamad AlGosaibi and Brothers Company (AHAB) in their ongoing SAR 35+ billion ($9.3 billion) with in excess of 50 cases litigation with international and local banks and individuals before the SAMA Disputes Committee, the Commercial Papers Committee, the Board of Grievances and the Enforcement (Execution) Judges. Representation also includes financial and commercial restructuring and amicable and alternative dispute resolutions 
  • A leading Saudi company in defense of a claim to enforce a foreign arbitral award before the Board of Grievances 
  • A Saudi citizen and prominent international investor in international arbitration against a foreign government for mistreatment, unlawful takeover and mistrial as well as representing him locally before the Bureau for Public Prosecution, the Ministry of Interior and its department (e.g. the Saudi Interpol) and the Criminal Court 

Capital Market Transactions

  • Middle East Paper Company in connection with its successful offering of 15,000,000 shares representing 30 percent of its shares to the public through an IPO at a total IPO value of SR450,000,000  and listing the same on the on the Saudi Stock Exchange (Tadawul)
  • Tabuk Agriculture Development Company in connection with its rights issue offering of 25,000,000 shares at a total rights issue value of SR250,000,000 and listing the same on the Saudi Stock Exchange (Tadawul) 
  • Al Hammadi Company for Development and Investment in relation to the  offering of 30% of its shares to the public through an IPO and listing its shares on the Saudi Stock Exchange (Tadawul)
