Vice Chair
Michael currently serves as a Vice Chair of the firm and a member of the Management Committee and Diversity Executive Committee. His practice includes mergers & acquisitions, securities litigation, corporate governance, directors and officer representation, and commercial disputes. Michael has appeared as lead counsel in several jurisdictions, and has significant experience in handling Delaware corporate and partnership litigation matters. Most recently, Michael was lead trial counsel for Energy Transfer Equity, L.P. in connection with a lawsuit adverse to The Williams Companies to enforce rights under the parties’ merger agreement. Following expedited discovery and an expedited trial, The Delaware Court of Chancery entered an opinion and order permitting his client to terminate the merger agreement. This decision was affirmed by the Delaware Supreme Court. Michael has also handled a variety of corporate investigations, including internal investigations and investigations initiated by the Securities and Exchange Commission.

Vice Chair
Hilary currently serves as a Vice Chair of the firm and a member of the Management Committee and the Diversity Executive Committee. Hilary additionally serves as Co-Chair of V&E’s Women’s Initiative. Hilary focuses her litigation practice on intellectual property litigation and commercial disputes. She has represented clients in these types of lawsuits in trial and appellate courts across the country and regularly “provides strong practical advice and offers creative solutions” for clients (Chambers USA 2016). Hilary also has substantial experience counseling clients in risk management surrounding technology development, particularly in the sports, digital media, mobile content delivery, and e-commerce industries. In particular, she is noted as having “excellent communication skills and knowledge of the digital technology and telecommunications arenas” and has been called “a trusted advisor” with “excellent judgment” (Chambers USA 2016). Hilary has been recognized for her work in Chambers USA since 2014 and in New York Super Lawyers since 2013.

His practice entails both mergers and acquisitions work and day-to-day counseling. He regularly advises clients on matters involving stock options, restricted stock, profits interests, performance-based compensation arrangements, golden parachutes, 409A issues and Securities Act and Exchange Act compliance as well as the structuring of employment, change in control and severance agreements.

Chris frequently guides financial sponsors and operating companies through the enterprise life cycle – the initial formation, management team arrangements, bids and acquisitions; capital build-up through private equity and debt capital financings; development of pre-IPO governance structures; and private or public exit transactions. Chris works closely with V&E’s Capital Markets, Corporate Governance, Finance, Tax and other specialty teams. Chris has worked on transactions for more than a dozen leading private equity firms and family offices, involving more than 100 private equity-related transactional matters across many industry sectors. Chris is a leader of Vinson & Elkins’ working groups focused on Electric Power for Power Transmission Transactions, and for Renewable Fuels, which are part of the Firm’s focus on Energy Transition.
