20/20 Vision: Using 2019 Proxy Season Insights to Prepare for 2020 and Beyond
V&E's corporate governance and disclosure professionals will summarize key trends and takeaways from the 2019 proxy season, and discuss the topics likely to play a prominent role for the 2020 proxy season and going forward. We will also provide practical action items for companies to better prepare for their 2020 annual meeting season, and provide a broad perspective on the current trends in the environmental, social and governance (ESG) space, including a discussion of evolving investor expectations with respect to climate change and supply chain disclosures and board and executive-level diversity. Our ESG discussion will include our views on where ESG investment, activism and disclosures are headed in 2020 and beyond.
Complaints and Changes in the C-Suite (Houston & Dallas only)
We will address how to respond to and investigate complaints about the behavior of C-Suite executives. We wil also discuss the steps in today’s instant media coverage world of managing the exit of such executives including agreements, resignations vs. terminations, and confidentiality issues. In addition, we will identify the issues and points to consider regarding when in these processes the public company may have a reporting requirement and what needs to be disclosed.
Mid-Year Enforcement Update
We will provide a mid-year enforcement update on recent regulatory guidance and related enforcement actions in high-risk areas including compliance with the U.S. Foreign Corrupt Practices Act and antitrust laws, provide an overview of SEC announced priorities and recent enforcement actions, and discuss how these recent developments along with technological advances are altering the standards for corporate compliance programs and raising the bar for what is considered “best-in-class” compliance programs.
Communications in a Modern World: Avoiding Electronic Communication Pitfalls and Protecting Privilege
The search for the “smoking gun” has very much moved from the friendly confines of the filing cabinet to the ever-expanding world of emails, texts, social media platforms, and beyond. V&E trial lawyers will discuss the challenges of modern-day discovery and practices for advising, and perhaps scaring, business units about these issues. The discussion will also cover helpful ways to preserve the attorney-client privilege in a digital world.
Understanding Unicorn IPOs (Austin only)
We will survey select “unicorn” IPOs with the benefit of hindsight. In particular, we will review notable highlights from SEC comment letters to the extent they are available. We will also consider whether these “unicorns” approach discretionary corporate governance and other areas of judgment differently and discuss whether other IPO candidates should emulate them.
