Overview
V&E's Federal Income Tax practice involves counseling, planning and representing clients' interests to achieve favorable tax treatment. It encompasses all tax-related aspects of domestic and international business transactions, with an emphasis on taxation of corporations and their shareholders, partnerships and partners, and natural resources. Our lawyers form and secure tax exemption for religious, charitable, educational, and other organizations; structure tax-exempt bond issues; provide counseling on individual income, estate and gift tax matters; prepare and administer trusts and estates; and lobby for new tax laws and favorable interpretations of existing laws at the local, state, and national levels. We also have significant experience in handling state and federal tax controversies, from audit through litigation. Among our clients are foreign and domestic public companies and privately-held businesses including those in the energy/oil and gas, healthcare, medical devices, technology, insurance, entertainment, and retail industries; individuals; trusts and estates; tax-exempt organizations; and governmental and quasi-governmental entities.
V&E tax lawyers regularly handle acquisitions and dispositions of businesses and assets; business formations; project financings; public offerings and private placements of securities; equipment leases, securitizations, and other indirect financings; major land development; construction contracts; and venture capital financings. In addition, we regularly deal with the interaction of different nation's tax regimes in order to structure transactions in a tax-efficient manner, as well as to find ways to reduce or eliminate multiple-country taxation of income from international projects.
