Biography
Shelley has extensive experience in corporate governance matters, securities offerings, merger and acquisition transactions, and international transactions, with a current focus on transactions in the energy industry.

In the capital markets area, Shelley represents issuers and investment banking firms in public offerings and private placements of equity and debt securities, including initial public offerings (IPOs), follow-on and secondary public offerings, private offerings made pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended, and PIPE offerings.

Related to mergers and acquisitions, Shelley represents clients in public company mergers, negotiated acquisitions and divestitures, spin-off transactions, and corporate reorganizations.

In addition, Shelley regularly advises clients on corporate governance matters and general corporate law matters, including compliance with the federal securities laws, Sarbanes-Oxley Act of 2002-related corporate governance and compliance matters, and compliance with the NYSE and NASDAQ rules.

  • Represented an oil and gas company in connection with an aggregate of $1 billion in Rule 144A debt offerings
  • Represented an oil and gas master limited partnership in connection with its $111 million initial public offering and an aggregate of approximately $670 million in PIPE offerings
  • Represented an oil and gas company in connection with its $225 million Rule 144A debt offering
  • Represented the general partner of a pipeline partnership in connection with its $168 million initial public offering
  • Represented the underwriters in connection with a public equity offering by a power company
  • Represented a water company in connection with its initial public offering and Rule 144A debt offering
  • Represented the selling shareholder in connection with a secondary offering of a digital television and broadcasting company based in the United Kingdom  
  • Represented the initial purchasers in connection with the privatization of the Portuguese pulp and paper company
Mergers & Acquisitions
  • Represented an oil and gas master limited partnership in connection with its $1.4 billion acquisition of oil and gas properties, which transaction was recognized as 2007 M&A Deal of the Year by Oil and Gas Investor magazine
  • Represented an oil and gas company in connection with its $2 billion Reverse Morris Trust spin-off of its Gulf of Mexico properties and the subsequent merger of such properties with another oil and gas company, which transaction was recognized as 2006 Financing of the Year by Oil and Gas Investor magazine 
  • Represented an oil and gas company in connection with its approximately $873 million acquisition of oil and gas properties
  • Represented an oil and gas company focused in the Gulf of Mexico in connection with its $1.8 billion merger with another oil and gas company
  • Represented an oil and gas master limited partnership in connection with its acquisition of its sponsor’s interest in the partnership and the related reorganization of the partnership
  • Represented an oil and gas company in connection with its $1.5 billion merger with another oil and gas company
  • Represented a private equity firm in connection with an asset acquisition of a steel  company in bankruptcy
  • Represented an international infrastructure company in connection with acquisitions and dispositions of assets and companies in the United States, Europe, and Latin America
