Biography
Shane’s practice area involves a variety of executive compensation and employee benefits matters. A significant portion of Shane’s practice involves the design of deferred compensation arrangements and equity-based compensation arrangements and he has counseled both employers and executives in various executive compensation matters. Shane also advises clients in the complex tax matters associated with executive compensation arrangements, including performance-based compensation issues, transactions involving golden parachute payments, deferred compensation plan design, and matters involving transfers of property for services.

In addition, Shane has experience in the design of various forms of retirement plans, welfare plans, and payroll practices, including 401(k) plans, employee stock ownership plans (ESOPs), severance plans, health plans, cafeteria plans, and retention and other bonus arrangements. He has represented clients in the submission of tax qualified retirement plans to the Internal Revenue Service (IRS) for determination of tax exempt status and resolution of tax qualification issues. Shane also advises clients on ERISA fiduciary and plan asset matters. He also has experience advising human resources and payroll personnel in the day-to-day administration of compensation arrangements, qualified retirement arrangements, and welfare benefit arrangements.

Shane has extensive experience with executive compensation and employee benefits issues associated with corporate mergers, acquisitions, restructurings, and initial public offerings. He also counsels clients with respect to proxy statement disclosure and shareholder approval issues involving equity compensation arrangements and compensatory arrangements for executive officers and directors. He works closely with the firm’s corporate practice group on both transactional matters and securities issues relating to benefits and compensation programs.
