Biography
Hessam’s practice focuses on public and private mergers and acquisitions, divestitures, leveraged buy-outs, and joint ventures, including related debt and equity financing, across a broad spectrum of industries. Hessam has particular expertise in representing strategic and financial acquirers of, and investors in, technology, media, and telecommunications enterprises. Hessam’s technology and media practice encompasses advising on service agreements, technology transfers and divestitures, business process and IT outsourcing, licensing of software, patents and proprietary methods, technology joint ventures, strategic alliances, co-marketing, joint development, and transition services agreements. Hessam also advises on internet terms of use and online contracts, privacy and data security compliance, and best practices. Prior to joining Vinson & Elkins, Hessam was in the corporate practice group in the New York office of a top tier international law firm.

Mergers, Acquisitions, and Divestitures View All
- Represented some of the most prominent U.S. private equity sponsors in connection with leveraged buy-outs, including several acquisitions of technology services, software, and telecommunications companies, with an aggregate transaction value in excess of US$25 billion
- Represented venture capital and private equity funds in connection with early stage financing in telecommunications, e-commerce, mobile telephony, internet content, and software companies
- Assisted with the representation of one of the largest insurers in the U.S. in connection with the sale of its property and casualty insurance business in 47 States
Technology, Telecom, and Intellectual Property Transactions View All
- Represented Fortune 500 companies in connection with technology licensing, services and support agreements, hardware purchases, and outsourcing transactions, including advising clients in the procurement of technology products and services from leading technology vendors
- Represented a regional telecommunications carrier in connection with divestiture of a portion of its subscriber base to a national carrier
- Represented an international logistics company in connection with a multi-million dollar offshore outsourcing of enterprise wide data management and networking, accounting, and customer relations functions
