Biography
Xiao Yong's practice is focused on foreign direct investments, international mergers and acquisitions and energy and infrastructure projects. He is experienced in structuring all forms of direct investments in China, as well as in seeking approvals from high-level government agencies, in the telecommunications, information technology, retail services, franchising, technology transfer, and energy and infrastructure sectors. In recent years, Xiao Yong has represented large international companies in the establishment of nationwide distribution networks, retailing companies, leasing companies, and other businesses in the services sector in China. Meanwhile, Xiao Yong has advised a number of China’s largest state-owned companies in their overseas investments in the energy, mining, and natural resources sectors around the world.
Xiao Yong is the Co-Managing Partner of our Beijing office and head of our China Practice. Prior to joining Vinson & Elkins, Xiao Yong spent 10 years working with the Department of Treaties and Laws of the Ministry of Foreign Trade and Economic Cooperation, the People’s Republic of China (“MOFTEC,” now Ministry of Commerce). He is based in the firm's Hong Kong office.

Representative Experience
Chinese Outbound Investments – Oil and Gas View All
- Represented Sinopec, one of China’s largest state-owned petroleum and petrochemical companies as international counsel in connection with the C$2.1 billion acquisition by Sinopec's wholly-owned Canadian subsidiary of Canada-based Tanganyika Oil, with shares listed on the Canadian and European stock exchanges and oil and gas exploration and production operations in Syria. This transaction was one of the largest takeovers by a Chinese acquirer of a North American public company, and involved companies and assets located in China, Canada, Syria and a number of other jurisdictions. The deal was named one of the Top 10 China M&A Events of the Year in 2008 by the China Mergers and Acquisitions Association (CMAA)
- Represented a large Chinese state-owned petroleum exploration and production company as international counsel in connection with the acquisition by its wholly-owned subsidiary of Kuat Holding Company and its subsidiary, which owns significant petroleum interests in Kazakhstan
- Represented a consortium of Chinese clients on the purchase of companies owning the oil and pipeline interests in Ecuador of EnCana Corporation, including net proved reserves of approximately 143 million barrels and a 36% stake in a 500 kilometer export pipeline with transport capacity of 450,000 barrel per day for approximately US$1.42 billion
Chinese Outbound Investments – Mining, Natural Resources and Other View All
- Representation of Power Mighty Limited (BVI), an indirect subsidiary of Polytec Assets Holding Limited, a Hong Kong listed company, in the US$139.6 million acquisition through its subsidiaries of all the shares of Caspi Neft TME, a Kazakhstan companyowned by chapter 11 debtors, that holds oil and gas production rights and assets in Kazakhstan and intercompany debt owed by Caspi Neft TME.
- Represented a Chinese state-owned company in connection with a US$700 million investment in an Asian mining company
- Represented a large Chinese mining and minerals company in connection with the establishment of a joint venture in Ukraine with respect to the development of iron ore mines
Private Equity View All
- Represented a large private equity fund in connection with the structuring, financing and acquisition of distressed debt and other asset portfolios in various Asian markets, including formation of joint venture and other corporate entities and preparation and negotiation of shareholder agreements
- Represented a U.S. energy-focused private equity fund in the proposed acquisition of an interest in a Chinese state-owned energy company with coal assets
- Represented a New York based private equity fund in the acquisition of a Chinese listed company in the chemicals industry
LNG Projects View All
- Represented a large Chinese state company in connection with the proposed development of a new LNG regasification facility in south China
- Represented a large Chinese oil company on the proposed development of LNG regasification facilities in northeast China
- Represented a large oil and gas company in negotiating purchases of LNG from Sakhalin LNG sellers
Dispute Resolution
- Representing a large Chinese state-owned energy company in connection with a dispute in Nigeria
- Representing a large Chinese mining and minerals company in connection with an arbitration in Hong Kong and related Rule B attachment litigation in the U.S. arising out of disputes over a contract of affreightment
