Biography
Bill's primary areas of practice are securities and corporate finance, with an emphasis on venture capital and private equity, mergers and acquisitions, and corporate governance matters.
He has extensive experience representing venture capital and other private equity firms, emerging companies and entrepreneurs in equity and debt financings at every stage of funding, from seed investments, through start-up and growth financings, to buyouts and recapitalizations. His experience has been across a wide range of industries, including software, hardware, semiconductors, information technology services, biotechnology, telecommunications, manufacturing, retail, consumer products, and energy. He has also represented venture capital firms and other private equity investors in forming and operating their funds and managing their investments.
Bill has represented issuers and underwriters in public and Rule 144A offerings, including initial public and secondary common stock offerings, limited partnership offerings, and convertible and other debt offerings. In addition, he has represented shareholders in purchasing and selling significant positions in public and private companies.
Bill has represented acquirers and sellers in a broad range of merger and acquisition transactions and has advised public companies regarding tender offers, proxy contests and going private transactions. In addition, he has represented companies in structuring and forming joint ventures and other strategic alliances.
He regularly advises management, boards of directors and audit and compensation and special committees of public and privately held companies regarding fiduciary duties, governance and securities law disclosure and compliance.
Bill is a member of the Management Committee and serves as the Technology Group Leader and Co-Managing Partner of V&E's Austin office.

- Represented venture capital firms or issuers in more than 120 preferred stock financing transactions
- Represented a Fortune 50 public company in implementing a corporate venture capital program and in making more than 100 investments totaling more than $1.1 billion
- Represented a private structured finance firm in providing subordinated and mezzanine debt financing to companies in a variety of industries, including online advertising, enterprise software, broadband data network services and telecommunications equipment
Mergers and Acquisitions View All
- Represented a Fortune 50 public company in several acquisitions, investments, divestitures and restructurings
- Represented a publicly held semiconductor company in the sale of the company for $110 million
- Represented a biotechnology company in a spin-off of a division and the sale of its core business to a public company for $273 million
