Chua, Tju Liang

Biography
Tju Liang is a partner in the Shanghai office and a member of the firm’s worldwide Energy Transactions and Projects practice. His principal areas of practice are cross-border mergers and acquisitions and international business transactions, with a particular focus on the energy sector. Tju Liang has extensive experience advising clients on a broad range of energy transactions, including major energy M&A, project development, LNG supply agreements, and oilfield services. Most recently, he advised Sinopec in its C$10.3 billion acquisition of Addax Petroleum in 2009, and its US$7.1 billion investment in Repsol Brasil in 2010, the two largest ever international energy acquisitions by Chinese companies.  Prior to relocating to Shanghai in 2006, Tju Liang had been based in Singapore, Jakarta, and London.

  • Represented Sinopec International Petroleum Exploration and Production Corporation on its US$7.1 billion investment in Repsol Brasil S.A., a subsidiary of Repsol YPF, S.A. (Repsol), which holds all of Repsol's upstream assets in Brazil. Pursuant to this investment, Sinopec subscribed for new shares amounting to 40% of the share capital in Repsol Brasil on a fully diluted basis. This is the second largest ever international energy acquisition by a Chinese company
  • Represented Sinopec International Petroleum Exploration and Production Corporation on its C$10.3 billion acquisition of Addax Petroleum Corporation, a Canadian company publicly traded on the Toronto and London Stock Exchanges with assets in West Africa and the Middle East. This is the largest ever international energy acquisition by a Chinese company, and was named Deal of the Year 2009 by Asian Counsel
  • Represented CNOOC International Limited in connection with its US$2.20 billion acquisition from Chesapeake Energy of a 33.3% net undivided interest in oil and gas leases covering 600,000 acres in the Eagle Ford Shale, Texas, U.S.; marks the first significant investment in the U.S. energy sector by a Chinese company

  • Represented a U.S. private equity group in connection with a number of real estate development projects, including a proposed US$100 million investment in a Chinese real estate developer
  • Represented Cirrus Logic Inc. in its acquisition of Caretta Integrated Circuits, a Cayman Islands company owning a Shanghai based battery IC designer and fabless chip manufacturer
