Biography
Robin has a general M&A, corporate, and oil and gas practice, with an emphasis in acquisitions and divestitures of upstream and midstream energy assets, formation of partnerships, limited liability companies, and joint ventures, and other business transactions. Robin also has extensive experience in oil and gas transactions outside of an M&A context, including drafting and negotiating joint venture agreements, exploration and development agreements, participation agreements, drilling program agreements, and joint operating agreements.
A substantial number of Robin’s clients are private equity firms, and she has extensive experience in advising them on formation of joint ventures and acquisitions and divestitures of international and multi-state assets, including oil and gas properties, pipelines, and other energy assets. She also has significant experience in secured and unsecured financing transactions, including volumetric production payments and other innovative structures used in the oil and gas industry.

Mergers and Acquisitions - E&P Assets View All
- Represented CONSOL Energy, Inc. in connection with its $3.4 billion joint venture with Noble Energy, Inc. for the development of CONSOL's 663,000 Marcellus Shale acres in Pennsylvania and West Virginia, this is the largest U.S. shale joint venture to date, according to financial advisor, Jefferies & Company
- Represented Hess Corporation in connection with its $750 million acquisition of Marquette Exploration, LLC from private sellers
- Represented SM Energy Company in connection with the $710 million acquisition and development agreement concerning 12.5% working interest in its non-operated Eagle Ford shale position
Mergers and Acquisitions - Midstream Assets View All
- Represented Enterprise Products Partners L.P. in connection with its agreement with Enbridge Inc. to reverse the direction of crude oil flows on the Seaway pipeline to enable it to transport oil from Cushing, Oklahoma to the U.S. Gulf Coast
- Represented the buyer in the purchase of entities holding pipeline and transportation assets for more than $1 billion
- Represented the buyer in the purchase of two limited liability companies holding gathering assets
Mergers and Acquisitions - Other Assets
- Represented the buyer in the purchases of two multi-craft businesses for over $300 million
- Represented the buyer in the purchase of a cosmetic manufacturing business for more than $100 million
Finance
- Represented the lender in a series of multi-state financing arrangements with oil and gas producers
- Represented the buyer in a series of purchases of volumetric production payments
- Represented the lenders in several mezzanine financing transactions
