Biography
Regina’s practice involves all aspects of employee benefits, executive compensation, and related tax matters. Regina has experience in the design, drafting, implementation, and administration of qualified plans, non-qualified plans, and other compensation arrangements and programs; the employee benefit aspects of mergers, acquisitions, initial public offerings, and other corporate transactions; and litigation involving various employee benefit and executive compensation matters. Her practice includes work with qualified pension plans, 401(k) plans, and 403(b) arrangements; stock option plans; employee stock ownership plans; employee stock purchase plans; employment, parachute, and severance arrangements; other deferred compensation arrangements; group medical plans and other welfare benefit plans; and a variety of other fringe benefit programs and incentive compensation arrangements. Regina has represented clients in administrative matters before the Internal Revenue Service and the Department of Labor. She also has experience with issues regarding fiduciary liability under ERISA, prohibited transactions, and correction of operational and other defects under benefit plans. Regina regularly advises clients regarding federal income taxation and reporting of all aspects of benefits and compensation.

  • Designed, drafted, and/or restated numerous executive compensation arrangements for employment of executives of publicly traded and privately held companies
  • Assisted in representation of plan fiduciary of publicly traded Fortune 500 company in ERISA class action litigation concerning company stock held in 401(k) plan
