Biography
Raegan’s practice is focused on corporate governance and compliance for publicly traded companies. She regularly counsels clients on general corporate matters, including compliance with the periodic reporting requirements of the Securities and Exchange Commission and listing exchange requirements. She has significant experience with proxy disclosure issues and corporate governance matters, in particular. Her experience also includes the representation of issuers and underwriters, including master limited partnerships (MLPs), in both public and private offerings of debt and equity securities and negotiating and structuring asset and stock acquisitions and mergers.

- Routinely advises a leading independent lessor of seismic data acquisition equipment on compliance with periodic reporting requirements, NASDAQ listing exchange requirements, governance best practices, and general corporate matters
Mergers & Acquisitions
- Assisted in preparing the proxy disclosures for and advised on corporate governance matters relating to the merger of an independent power producer and special purpose acquisition company in an transaction valued at $1.3 billion
- Assisted in the representation of the operating partnership of the second-largest, publicly traded, midstream energy partnership in North America in its acquisition of two natural gas liquids pipelines for approximately $1.2 billion in cash
- Assisted in the representation of one of the largest privately held production services companies in the United States in connection with its $265 million merger with the world's largest service company
