Biography
Nicole is a partner in the M&A/Private Equity practice group. She concentrates her practice on mergers and acquisitions, private equity investments and general corporate matters. Her representations include private and publicly-held companies and private equity firms, and she has advised clients on numerous transactions in a variety of industries. Nicole has been listed as one of The Best Lawyers in America® and has been recognized by Texas Monthly as a "Texas Rising Star" and by H Texas magazine as one of its "Lawyers on the Fast Track."

Mergers & Acquisitions

- Represented SCF Partners and several of its portfolio companies in numerous acquisitions of energy service companies in the US and the UK
- Represented the sellers in the sale of Andergauge, a provider of specialized downhole drilling tools and related services based in Aberdeen, to Grant Prideco for approximately $115 million
- Represented a financial institution in connection with the acquisition of 25 domestic power generation facilities for more than $700 million
Public Company Mergers & Acquisitions

- Represented Seabulk International, a publicly-held provider of marine support and transportation services, in an acquisition by SEACOR for approximately $1 billion
- Advised Tipping Point, a publicly-held provider of intrusion prevention systems, in its acquisition by 3Com for approximately $430 million
- Represented a construction company in its acquisition of a publicly-traded homebuilding company for more than $200 million
Public Company Representation

- Represented Complete Production Services in its initial public offering of over $700 million and a subsequent senior notes offering of $650 million
- Represented Lexicon Pharmaceuticals, Inc. in a staged investment of up to $550 million in the company by Invus
- Assisted a major commercial airline with alliance matters
Private Equity Investments
- Represented a member of The D.E. Shaw Group in a $400 million equity line of capital investment in a wind power/project development company
- Represented Reservoir Capital Partners LP in acquisitions of interests in windplants, electric power projects, and a development project for a waste-coal fired electric generating facility
