Biography
Nicholas is a partner in the firm’s Beijing office and is a member of its Greater China Practice Group. His practice focuses on international transactions, and he has represented some of the largest Chinese state-owned enterprises on significant international M&A transactions. Most of these have been in the oil and gas sector. Apart from his corporate practice, Nicholas maintains a keen interest in international arbitration matters and is also a member of the firm’s International Dispute Resolution practice group. He has advised clients on international arbitrations under the HKIAC, LCIA and LMAA Rules.
In 2008, Nicholas was awarded an LL.M. with distinction in Comparative and International Dispute Resolution (focusing on international commercial and investment arbitration) from the School of International Arbitration at Queen Mary, University of London. He has worked in the firm’s New York and London offices and prior to joining Vinson & Elkins he was a litigation lawyer with a leading Singapore law firm. Nicholas is admitted to practice in Singapore, New York, and England and Wales, and speaks and reads Mandarin Chinese.

- Representing a major Chinese state-owned energy company in its proposed investment in a petroleum refining facility to be constructed in the Middle East
- Represented a large Asian energy company in the negotiation of long-term LNG purchase arrangements with an international joint venture seller
- Represented an Australian energy company in its development and operation of a greenfield LNG facility in Australia

- Representing a major Chinese state-owned energy company in its bid to acquire oil and gas assets in Brazil
- Represented a consortium of Chinese oil companies in connection with the US$1.42 billion acquisition of oil and pipeline interests in Ecuador
- Represented a Chinese state-owned enterprise in the US$218 million acquisition of a U.S. limited liability company with producing oil interests in the Zhao Dong Block, off-shore China

- Represented a large Chinese state-owned company in connection with an investment in an Asian mining company, involving in excess of US$800 million
- Represented a large private equity fund in connection with the structuring, financing and acquisition of distressed debt and other asset portfolios in various Asian markets, including formation of joint venture and other corporate entities and preparation and negotiation of shareholder agreements
- Represented insurance company investors in connection with a US$151 million debt investment in a US$199 million securitized leveraged lease financing of railcars to be operated in the continental USA, Canada and Mexico
Dispute Resolution View All
- Advising a Chinese oil and gas company on tax claims against the seller of shares in a Central Asian upstream petroleum company
- Represented an international energy company in arbitration in London under the LMAA rules with respect to claims of wrongful termination of a charterparty for an anchor-handling and supply vessel hired in connection with drilling activities offshore Africa
- Represented an Asian multinational energy and infrastructure company in arbitration in London under the ICC rules relating to contractual claims over the supply and refurbishment of a blow-out preventer stack to be used in offshore drilling activities

- Represented the sponsor in establishing joint venture vehicles for the acquisition and development of real estate projects throughout the United States
