Biography
Michael is a member of V&E's worldwide Tax group with considerable experience in most aspects of UK taxation relevant to corporate, finance, and property transactions, gained through more than 30 years as a corporate tax lawyer. Twenty of those years were spent as a partner in a London “Magic Circle” firm’s tax department, which was consistently ranked as a top legal tax team in the UK throughout that period.
Michael has extensive experience in advising on tax issues relevant to energy industry clients and is an active member of the UK Oil Industry Taxation Committee, regularly assisting the industry in discussions with the UK government on relevant tax developments. He has also advised overseas governments on their taxation regimes and has regularly led on the tax aspects of cross-border transactions.
Michael joined Vinson & Elkins in April 2010 and leads the UK tax team.

Tax – Mergers and Acquisitions

- Advised on the takeover of a major publicly listed UK brewing group by an overseas group
- Structured the tax aspects of a demerger of an oil business from a larger finance-focused group
- Advised a major international oil company on the reorganization of its businesses following its acquisition of another major international group
Tax – Finance

- Formulated a tax efficient structure for the first UK securitization of vehicle lease receivables
- Represented the arrangers or originators on the structuring of a series of securitization financings for pub companies, motorway service station operators, mortgage lenders, and consumer credit providers
- Acted for a major oil company in structuring an innovative funding structure by carving out a royalty in kind on its largest producing North Sea field
Tax – Energy Transactions

- Advised a coal importer on arguments for exemption from the UK’s climate change levy
- Represented a major oil group in relation to an exchange of international oil and gas assets with another major oil group
- Assisted a North Sea field operator in relation to a dispute with UK tax authorities over the alleged misallocation of production as between a taxable and non-taxable field
Tax – Real Estate
- Advised a listed UK property company on its restructuring and conversion into a real estate investment trust
- Advised a number of clients on the tax efficient disposal or subleasing of surplus office buildings
- Represented the purchaser on the purchase and lease-back of the majority of the UK’s telecommunications facilities
