Biography
Matt’s practice concentrates on securities offerings, mergers and acquisitions, and corporate governance and compliance. He has represented public and private companies, master limited partnerships, and investment banking firms in numerous capital markets offerings and has significant experience with public company mergers and acquisitions. Matt has extensive knowledge in the exploration and production, midstream, oil field services, and airline industries.

- Assisted various MLPs and underwriters in over 25 securities offerings with aggregate proceeds in excess of $5 billion, including initial public offerings and follow-on equity offerings, public offerings and private placements of notes and preferred units, rights offerings, and PIPEs transactions
- Assisted Continental Airlines in numerous capital markets transactions, including equity offerings, an “at-the-market” equity distribution program, and a convertible notes offering
Mergers and Acquisitions and Strategic MLP Transactions

- Assisted Continental Airlines in its merger with UAL Corporation's United Airlines, in a deal worth more than $3 billion
- Assisted Huntsman Corporation, a large chemical company, in negotiating and terminating its $10.6 billion sale of the company to Hexion Specialty Chemicals, Inc., an affiliate of Apollo Management, L.P.
- Assisted the sponsor of a midstream MLP in connection with a $700 million joint venture arrangement with the MLP
