James L. Cuclis Partner, Energy Transactions & Projects

Jay’s practice involves the representation of clients in a wide range of complex transactions across the energy industry, including mergers and acquisitions, and project development and finance matters. He has extensive experience in the upstream and LNG sectors in particular. During the last 35 years, he has worked on major energy transactions domestically and in more than 50 countries throughout the Americas, Africa, Asia, Europe, and the Middle East.

Although currently based in Houston, Jay has spent nearly half of his career abroad. He worked in the Hong Kong office from 2006 to 2014, and previously worked in the London office from 1990 to 1992 and in the Moscow office from 1992 to 1995. Jay was a member of Vinson & Elkins' Management Committee from 2007 until 2015. He serves as co-head of the Energy Transactions and Projects practice group.

  • Reliance Industries in its $7.2 billion sale of Indian oil and gas assets to BP and related joint venture arrangements
  • Jupiter Resources, a subsidiary of Apollo Global Management, in its $1.87 billion acquisition of Encana Corp.’s Bighorn gas properties
  • Anadarko Petroleum Corporation in its $1.075 billion disposition of its Chinese subsidiary to a wholly owned subsidiary of Brightoil Petroleum (Holdings) Limited 
  • Santos Limited in the $18.5 billion joint venture with Petronas, TOTAL, and KOGAS, for the development of a two-train greenfield LNG facility in Queensland, Australia, including the negotiation of long-term LNG off-take agreements

  • A European energy company in its >$2 billion acquisitions of oil and gas properties in the Gulf of Mexico
  • A large international energy company in its >$2.5 billion divestiture of energy assets located in five West African countries
  • A large U.S. energy company in connection with the multibillion dollar restructuring of its interests in several countries in the Middle East
  • An international energy company in connection with its multibillion dollar gas development and unitization project in Indonesia
  • A large independent oil and gas company in connection with the restructuring of certain South American upstream oil and gas interests 
  • An international energy company in the formation of a consortium with a major European energy company pursuant to which various oil and gas concessions in Asia were exchanged
  • Saudi/Chinese joint venture in connection with the proposed development of a $5+ billion petrochemicals project in Trinidad
  • Australian energy company in connection with the formation of a joint venture with a large European gas company to develop a floating LNG facility in Western Australia
