Biography
Jason practices in the area of commercial real estate. He regularly represents lenders and borrowers in commercial financing transactions, and serves as real estate counsel on a wide array of energy-related transactions and for public-private investments financed with municipal or other tax-exempt bonds. His experience also includes the purchase and sale of real estate projects, joint ventures, and commercial leasing. Jason has served as the vice president of asset management for a commercial real estate and energy project developer. He blends his legal skills with his business background, allowing him to generate practical and efficient results for his clients.


Representative Experience

  • Represented the City of Arlington, Texas, as the primary real estate attorney in negotiations with the Dallas Cowboys to build the new Cowboys Stadium
  • Represented an institutional lender in a $332,950,000 cross-collateralized loan secured by a portfolio of 11 office buildings
  • Represented the US-based owner in the development and leasing of a shopping center in Sarajevo, Bosnia and Herzegovina
Real Estate Finance
  • Represented an institutional lender in the origination and material modification of loans totaling in excess of $1.5 billion secured by a variety of real estate assets such as multifamily apartment complexes, office buildings, self-storage facilities, and industrial warehouses
  • Represented the borrower in the defeasance of an $82 million loan secured by eight properties, with a corresponding refinancing of six properties and sale of the two other properties
  • Represented a lender in the deed-in-lieu-of-foreclosure acquisition of a three office-building portfolio
Energy Transactions

  • Co-headed the real estate due diligence and closing team in connection with the $45 billion acquisition of a large U.S. integrated utility company that owns 18 power plants and five lignite mines
  • Served as real estate counsel in the firm’s representation of a power generator in the proposed development of a nuclear power project
  • Served as the primary real estate counsel for the developers of  separate wind farm projects in west Texas and South Dakota
Public-Private Investments
  • Served as the primary real estate counsel for a municipality in negotiating a long-term lease for a city-owned, privately operated entertainment center venue
  • Assisted the firm’s public finance group as the primary real estate attorney in connection with the financing of infrastructure development with bonds issued by public improvement districts
Real Estate Transactions
  • Represented an institutional investor in the negotiation of a joint venture to acquire a portfolio of office buildings
  • Served as real estate counsel in the firm’s representation of a debtor estate in connection with an auction and Bankruptcy Code Section 363 sale of a large development in Salt Lake City, Utah
  • Represented the seller in the $96 million disposition of 13 industrial warehouse properties in Texas, Tennessee, and Mississippi
