Biography
Tres’ practice is focused primarily on M&A, project development, financing, commodity trading and hedging, and other transactions in the energy industry. Since 1975, he has represented domestic and international participants in the energy business, including oil and gas producers, pipeline companies, electric power companies, investment banks, commercial banks, private equity funds, hedge funds, insurance companies, pension funds, endowment funds, and wealthy individuals in a wide variety of transactions in the energy industry.

Renewable Energy

  • Represented an international investment bank in the acquisition of a joint venture interest in, and the project financing of, wind power generation facilities located in California and Wyoming
  • Represented an international investment bank in the acquisition of an interest in an operating 49.8 MW wind power generation facility in Oregon and project financing of such facility
  • Represented an international investment bank in its purchase of a portfolio of wind power generation facilities across North America, including operating projects in Oklahoma, Iowa, and Costa Rica and projects under development in Oklahoma, New York, Washington, California, and Illinois (co-counsel)
Carbon Capture and Sequestration
  • Represented a public-private cooperative in connection with evaluation of legal issues and economic incentives for sitting in Texas of a large scale zero emission integrated gasification combined cycle (IGCC) power project with carbon sequestration
Coal
  • Represented an international insurance company in the acquisition, relocation, and project structuring of six coal-based synthetic fuel manufacturing facilities located in the U.S., including EPC contracts, coal feedstock supply agreements, coal synfuel sales agreements, operating and maintenance agreements, site leases, and other project agreements, and the syndication of interests therein to other financial institutions
  • Represented an international investment bank in the acquisition and redeployment of coal-based synthetic fuel manufacturing facility, including coal feedstock supply agreement, coal synfuel sales agreement, operating and maintenance agreement, site lease, and other project agreements
Crude Oil Facilities
  • Represented seller in sale of crude oil terminal to private equity fund
  • Represented the EPC contractor in connection with $2.8 billion project financing to develop oil fields offshore Brazil
  • Represented a major energy marketing and financing company in connection with proposed $500 million in debt and equity project financing to develop oil fields offshore Brazil
Oil and Gas Development

  • Represented owner of over 100,000 acres of oil and gas rights in Eagle Ford Shale in south Texas in connection with agreements with affiliate of major international oil and gas company to develop such properties
  • Represented international energy companies in connection with joint venture investments in U.S. shale gas development
  • Represented oil and gas operator in formation of drilling fund to explore and develop properties in Gulf of Mexico

  • Advised many parties on regulatory requirements under the Commodities Exchange Act and the regulations of the Commodities Futures Trading Commission relative to commodity derivative transactions and crude oil and natural gas hedging, negotiating and entering into ISDA master agreements, schedules and confirmations, and agreements for marketing and transportation of energy commodities
  • Represented international investment bank in providing $500 million secured oil and gas price hedging facility to energy producer secured by oil and gas properties
Volumetric Production Payments
  • Represented a major energy marketing and financing company in developing the volumetric production payment as a means of acquiring long-term supplies of crude oil and natural gas in a manner designated to facilitate price hedging, and in the acquisition and syndication of many such volumetric production payments
  • Represented an international investment bank in acquiring and syndicating two volumetric production payments covering properties in the Gulf of Mexico in connection with the acquisition of such properties by third parties
Other
  • Represented parties in energy transactions in Thailand, Oman, Nigeria, Angola, Brazil, Argentina, Bolivia, Canada, Australia, and UK
