Biography
Dionne’s principal area of practice is antitrust and trade regulation law. Her practice includes counseling clients with respect to merger and non-merger related activities, litigation, and representing clients before the U.S. Department of Justice and the Federal Trade Commission in connection with mergers and acquisitions, joint ventures, and other commercial arrangements.
Prior to joining the firm in 2000, Dionne served as a Trial Attorney at the U.S. Department of Justice Antitrust Division. At the Department of Justice, Dionne conducted a variety of civil merger and non-merger investigations. Her practice included reviewing Hart-Scott-Rodino filings, conducting witness interviews and depositions, drafting Second Requests and subpoenas, developing case strategies, and preparing cases for trial.
While at the firm, Dionne has represented various clients in responding to antitrust investigations conducted by the Department of Justice, Federal Trade Commission, and various state antitrust agencies. She has also represented clients engaged in international mergers, and has assisted clients with premerger notification filings around the world. Dionne has represented and advised clients on a broad range of antitrust issues in a number of industries, including energy, book publishing, technology (e.g., computers, semiconductors, software), food manufacturing, health care, pharmaceutical, consumer products, and others.

Representative Experience
Mergers and Acquisitions View All
- Represented a software company in the multi-jurisdictional merger review of its $219 million transaction with another software and equipment supplier
- Represented an international manufacturer of liquid analytical instruments before the Department of Justice in its merger with a national manufacturer of water analytical instrumentation
- Represented an energy company in a Federal Trade Commission investigation of its $1.1 billion acquisition of a financial interest in another energy company
Antitrust Counseling View All
- Counseled numerous clients on gun jumping, information exchange, and other premerger coordination issues
- Provided antitrust counseling to an energy company regarding Robinson-Patman issues
- Counseled an energy company regarding joint bidding issues
Antitrust Litigation
- Represented two major medical associations before the Fifth Circuit in connection with price fixing and clinical integration issues
