Biography
David's principal areas of practice are business law, international business transactions, cross-border mergers, acquisitions, and divestitures as well as corporate, project finance and oil and gas. He has advised clients across a broad range of industries, including energy, manufacturing, telecommunications, production, and sourcing, retail sales and distribution of consumer goods and other products. The 2008 and 2009 editions of the Asialaw Leading Lawyers survey listed David as one of the most highly-acclaimed legal experts in the Asia-Pacific region, whilst Euromoney’s 2009 and 2011 Expert Guide to the World’s Leading Energy and Natural Resource Lawyers, Euromoney's 2011 Expert Guide to Leading Practitioners: China and International Who’s Who of Oil and Gas Lawyers 2010 and 2011 named David a leading practitioner in his field. He is a member of the firm's Energy Transactions and Projects Group, Project Finance and Development Group, and the China Practice Group. David is the co-Managing Partner and Chief Representative of the firm's Shanghai office.

Mergers, Acquisitions and Dispositions View All
- Represented CNOOC International Limited in connection with its US$1.27 billion acquisition from Chesapeake Energy of a 33.3% net undivided interest in oil and gas leases covering 800,000 acres in the Denver-Julesburg and Powder River Basins in Colorado and Wyoming, U.S.; marks one of the first significant investments in the U.S. energy sector by a Chinese company
- Represented CNOOC International Limited in connection with its US$2.20 billion acquisition from Chesapeake Energy of a 33.3% net undivided interest in oil and gas leases covering 600,000 acres in the Eagle Ford Shale, Texas, U.S.; marks the first significant investment in the U.S. energy sector by a Chinese company
- Represented Sinopec International Petroleum Exploration and Production Corporation (Sinopec) in connection with its agreement with Repsol Brasil to subscribe for new shares comprising 40% of the share capital of Repsol Brasil for an aggregate base consideration of US$7.109 billion

- Represented BG International Ltd. in connection with the negotiation of a new petroleum contract for Block 63/16 in the South China Sea with China National Offshore Oil Corporation
- Represented a large Chinese oil and gas company in connection with the negotiation of a long-term liquefied natural gas (LNG) purchase agreement with a large European oil and gas company
- Represented internationally-owned project companies in the negotiation of operating agreements for US$1.2 billion heavy crude oil pipeline and marine terminal in Ecuador

- Represented U.S. energy company in sale of its 50% share in a company owning interests in over 12 power plants in China, Taiwan and Korea for approximately US$220 million
- Represented U.S. energy company in connection with the sale of a controlling interest in a gas-fired co-generation facility in Hsinchu, Taiwan
- Represented a U.S. energy company in restructuring of its investment in a geothermal power project in the Philippines

- Represented Century Bridge Capital in connection with the US$70 million financing for and acquisition of a 49 percent interest in a Chongqing-based company engaged in the development of two residential real estate projects in that city
- Represented Century Bridge Capital in connection with the US$41.4 million acquisition of a significant minority interest in a real estate developer in Xi’an, China
- Represented a U.S. energy-focused private equity fund in connection with the proposed acquisition of an interest in a Chinese state-owned energy company with coal assets

- Represented a NYSE-listed manufacturing company in the negotiation and ongoing restructuring of multiple Chinese joint ventures including the resolution of land title and transfer issues, the buyout of Chinese partners, and the internal investigation of management issues
- Advised a French telecommunications company in connection with the China aspects of its acquisition of the worldwide 3G business of a multinational telecommunications entity
- Represented a U.S. food and beverage company in the dissolution of its China subsidiaries
