Biography
Ayman's practice focuses on structured finance and debt capital markets transactions with a particular emphasis on the structuring and documentation of Islamic finance and investment products (including Sukuk offerings backed by pools of global assets). In addition, he advises clients on private equity transactions in the Middle East as well as on the formation of innovative Shari'a-compliant infrastructure, private equity, and real estate funds and structured products. Ayman has been advising foreign investors on doing business in the Middle East for more than 14 years and has significant experience across a number of industry sectors, including infrastructure, telecommunications, media, technology, and energy.
Ayman is regularly recognized among the best Islamic finance lawyers in the world by leading industry and legal publications such as Chambers Global and Euromoney and was recently named a Leading Lawyer in six categories by Islamic Finance News. He is a regular speaker at international conferences and is currently teaching a course on Transactional Islamic Law at The George Washington University Law School in Washington, DC. Ayman currently serves as the Managing Partner of V&E's Middle East offices.

Structured, Corporate, and Project Finance

- Represented Liquidity Management Centre, as lead arrangers, on a $140 million Shari’a-compliant aircraft sale and lease-back arrangement for Bahrain Mumtalakat Holding Co.; proceeds of the facility utilized to fund the operation of Gulf Air
- Represented Merrill Lynch and BSEC – BEMO Securitization SAL, as lead arrangers, on a $165.67 million sukuk for East Cameron Partners, an independent oil and gas exploration and production company in Texas. The sukuk are backed by Gulf of Mexico assets, including an overriding royalty interest. Named the 2006 “Most Innovative Islamic Finance Deal of the Year,” Euromoney, “Best Structured Finance Deal of the Year” and “Best USA Deal of the Year,” Islamic Finance News
- Represented Liquidity Management Centre and Emirates Islamic Bank, as lead arrangers, on a $100 million sukuk offering for Thani Group, a UAE-based investment company. Named the 2007 “Best Structure by a Private Corporate Issuer," International Financial Law Review

- Advised on the structuring, documentation, and listing of a number of Islamic debt capital market (Sukuk) instruments (See "Structured, Corporate, and Project Finance")
- Represented Unicorn Investment Bank on the acquisition of 16,800,000 of common shares of Al Tajamouat for Touristic Projects Plc. (Al Tajamouat), a Jordanian company listed on the Amman Stock Exchange, and on the private placement of shares to increase the capital of the company
- Represented the underwriters and managers in connection with the issue by Aluminium Bahrain B.S.C. (c) of US$200 million of floating rate bonds

- Represented Al-Futtaim Capital (part of the Al-Futtaim Group) in connection with the structuring and documentation of Al-Futtaim MENA Real Estate Development Fund and Al-Futtaim MENA Real Estate Shari'a Development Fund. The two Funds (combined) had a first closing at AED1.84 billion (US$500 million)
- Represented NBK Capital and GSC Corporation in connection with the structuring and documentation of NBK Capital - GSC Mezzanine Fund I, L.P. a US$200 million MENA mezzanine fund
- Represented Pramerica Real Estate Investors GmbH (a subsidiary of Prudential Real Estate Investors) in connection with the structuring and documentation of a Shari’a-compliant structure for investments in real estate securities in South East Asia
Mergers and Acquisitions and Corporate Matters

- Represented a major U.S. telecommunications company on its proposed acquisition of one of the largest Middle Eastern telcoms
- Represented a holding company, based in the Dubai International Financial Centre, in connection with a capital increase, by way of share swap arrangements, in the amount of US$128.5 million
- Represented Unicorn Investment Bank on its acquisition of a 75 percent equity stake, including 100 percent of Class A (Management) shares, in Inter Yatirim, a brokerage and asset management company based in Turkey
