Eliot represents founders, high-growth companies and venture
capital firms through the entire life cycle of a company, with a particular
emphasis on the formation and financing of emerging companies. He guides
our clients through issues involving corporate and securities law, corporate
formations, venture capital financings, mergers and acquisitions, intellectual
property, and all other issues that early-stage companies encounter.
In addition, Eliot represents clients in the formation and
operation of investment funds, public and private transactions, including
mergers and acquisitions, joint ventures, internal reorganizations, and general
corporate matters across several different industries, such as oil and gas
(upstream, midstream, and downstream), real estate, health care, and
entertainment. He regularly drafts and negotiates key transactional agreements,
including purchase and sale agreements, term sheets, nondisclosure agreements,
