Trina H. Chandler Partner, Mergers & Acquisitions and Private Equity

Trina is a nationally recognized energy M&A and transactions lawyer, with more than 20 years of experience in the industry. Her practice focuses on mergers and acquisitions, joint ventures, and finance transactions.

She represents private equity firms, major energy and utility companies, and financial institutions, including firms such as Riverstone Holdings, Sempra Energy, Quantum Utility Generation, Wayzata Investment Partners, and Duke Energy, primarily in power, downstream, midstream, marketing and trading, and other energy-related transactions. Trina is a member of the firm’s Management Committee and currently serves as co-head of Vinson & Elkins' Energy Industry group and Chair of the firm’s Women’s Initiative.

Experience Highlights

  • Riverstone Holdings in its $5.2 billion take-private of Talen Energy Corporation, one of the largest independent power producers in the U.S. with a portfolio of power plants totaling approximately 16,000 MW, and associated debt financings
  • Consortium of certain new money equity investors, including Avenue Capital, in the announced over $18 billion acquisition and restructuring of Energy Future Holdings and Oncor, the largest transmission and distribution utility in Texas, and the conversion of the companies into a REIT 
  • Riverstone Holdings in the $9.5 billion formation of Talen Energy Corporation, one of the largest independent power producers in the U.S., through a Reverse Morris Trust spin-off of PPL Corporation’s merchant power generation business and the concurrent combination thereof with Riverstone’s merchant power generation business and associated debt financings
  • Wayzata Investment Partners in the $625 million sale by its portfolio company, MinnTex Power Holdings, of its 1,050 MW, combined-cycle power plant in Guadalupe County, Texas to Calpine Corporation
  • BG Group and EXCO Resources in the $910 million sale of TGGT Holdings, a joint venture between the two companies that owns and operates natural gas gathering, transportation and treating assets, to Azure Midstream

Power

  • Quantum Utility Generation in its acquisition of gas-fired power generation development projects in Texas
  • BG North America in the $450 million sale of its entire U.S. power generation portfolio to Energy Capital Partners
  • Wayzata Investment Partners in the acquisition of an approximately 583 MW Unit 1 Power Block at the 2,320 MW Gila River Power Station in Arizona from Entegra Power Group
  • Duke Energy Company in the $1.6 billion sale of eight U.S. power plants (6,200 MW) to LS Power
  • Wayzata Investment Partners in the $351 million acquisition of the 1,000 MW Guadalupe power facility from PSEG Power

Midstream Oil & Gas and Downstream Oil & Gas

  • Riverstone Holdings in the acquisition by its portfolio company, TrailStone, of U.S. Oil & Refining Co., owner of a 42,000 bbl/day refinery and a rail, pipeline, marine and truck logistics business in the Pacific Northwest
  • Sempra Energy in potential acquisitions of, and joint ventures relating to, various midstream assets in connection with its initiative to expand its investments in the midstream space in North America
  • DCP Midstream in connection with its potential acquisitions of various gathering and processing assets in the United States

Energy – Clean Energy & Renewables

  • Tyr Energy, an Itochu Corporation, in its $500 million joint equity investment in the 845 MW Shepherds Flat wind power generation project in Eastern Oregon, currently the largest wind farm in the world
  • Duke Energy Company in the 50/50 joint venture with Sumitomo Corporation for the development, construction, financing, operation, and maintenance of Duke Energy’s 131 MW Cimarron II Wind Energy Project and 168 MW Ironwood Wind Energy Project, both located in Kansas
  • Valos Solar Ventures in its development of, and disposition of, solar development projects in California to Algonquin
  • Duke Energy in its 36 MW battery storage project for its approximately 150 MW wind farm in Texas, one of the largest battery storage projects to date
  • Duke Energy in its sale of the Corani and Santa Isabel hydroelectric plants in Bolivia to Econergy Energy Generation

Marketing & Trading

  • Duke Energy in its $715 million sale of Cinergy’s marketing and trading business in the United States and Canada to Fortis Bank
  • Duke Energy in its $685 million transfer of its marketing and trading portfolio to Barclays Capital
  • Bear Energy in its $800 million acquisition of Williams Power Company’s power trading business
