Vinson & Elkins represents sponsors and managers with a variety of investment strategies and structures in forming, operating, and investing in private funds. Our clients range from large sponsors to start-ups, institutional investors, and family offices. In addition to our extensive general fund formation experience, we are well versed in establishing strategic partnerships for private equity and real estate funds, co-investments and seeding transactions, and the formation of single investor funds and separate accounts.

The Private Investment Funds team draws support from other areas of the firm, including domestic and international taxation, tax structuring, securities and investment company laws, commodities regulations, partnership law, and ERISA, offering our clients an integrated approach to fundraising and structuring. Our limited partner clients include institutional investors such as public and private pension funds, foreign government-sponsored enterprises, large university endowment funds, family offices, and foundations. These limited partners review hundreds of investments each year, giving V&E exposure to constantly shifting market terms and trends and unparalleled familiarity with tax and legal issues associated with these types of clients. With the insights from our broad client base, we provide individualized business and legal advice for all of the firm’s institutional investor and general partner clients.
