For more than 20 years, the Vinson & Elkins team has represented a variety of clients in transactions, disputes and regulatory matters in Mexico. V&E lawyers are actively engaged by clients investing in Mexico, to leverage our attorneys’ knowledge and experience of Mexican commercial and legal practices as well as our contacts with local counsel in order to successfully close transactions and resolve disputes.

  • Talos Energy LLC, as member of a consortium and Operator, in its successful bid for two awarded offshore blocks in Mexico’s first hydrocarbons auction and other matters in respect of their operation and joint ownership
  • EZ Corp in the $50 million sale of its majority interest in Grupo Finmart, a provider of consumer loans to government agency employees in Mexico, to AlphaCredit
  • Various entities in activities related to participation in Mexico’s Round One for bidding on exploration and production contracts, including in depth legal analysis of issues presented by the bidding guidelines, proposed production sharing contracts and proposed license contracts as well as the drafting and negotiation of joint bid and study agreements and joint operating agreements for bidding consortia
  • Riverstone Holdings in the formation and $525 million line of equity commitment to Sierra Oil & Gas, Mexico’s first independent exploration and production company
  • Energy Transfer Partners in the $400 million proposed development of a cross-border natural gas pipeline to the Chihuahua industrial corridor in Mexico
  • Assisting lighting manufacturer to investigate the conduct of a distributor in Mexico in connection with a municipal installation; scope of work includes conducting internal investigation, including interviews of distributors, and assisting company to enhance existing due diligence procedures and compliance program
  • (S.D. Tex.) — Obtained complete dismissal on summary judgment and a motion to dismiss in two cases against a natural gas marketing and transportation company in litigation in federal court in the Southern District of Texas involving allegations of conversion of natural gas condensate
  • Represent executives of a multibillion dollar Mexican development company in FCPA/anti-corruption investigation
  • Conducted due diligence on potential agent to assist company in identifying and entering into agreements with PEMEX to operate retail gas terminals and convenience stores in Mexico
