This program, presented by Vinson & Elkins lawyers Jeff Floyd, Stephen Gill, and Michael Holmes, will touch on the following topics: who should serve on a conflicts committee, when to engage investment bankers, when to obtain fairness opinions, the purpose of separate counsel to a conflicts committee, standard of care/duties, "typical" conflicts committee process, and litigation concerning the transaction.
